現代投資(000900.SZ)擬參與競拍長韶婁公司100%股權
格隆匯2月20日丨現代投資(000900.SZ)公佈，2020年2月14日，湖南軌道交通控股集團有限公司(“湖南軌道”、“轉讓方”)通過湖南省聯合產權交易所公開掛牌轉讓湖南長韶婁高速公路有限公司(“長韶婁公司”、“標的公司”)100%股權，掛牌轉讓底價為38.25億元。公司擬參與競拍長韶婁公司100%股權。
長韶婁公司主要資產為長韶婁高速公路收費權。長韶婁高速公路主線於2014年12月31日通車，收費經營期30年。起自長沙市湘江新區，接長潭西線高速公路，經長沙、湘潭、婁底3市的嶽麓區、寧鄉縣、韶山市、湘鄉市、婁星區、漣源市6個縣、市，收費里程140.772公里，其中長沙至婁底主線124.209公里，韶山支線14.942公里，東延綜合立交樞紐1.621公里，採用四車道高速公路標準建設，設計速度採用100公里/小時。全線共設監控管理分中心1處，服務區3對，養護工區3處，匝道收費站9個。
公司主要從事高速公路收費業務，公司在交通基礎設施的投資、建設和運營管理等方面具備豐富經驗及管理優勢。但公司運營的潭衡高速、衡耒高速、長永高速和長潭高速剩餘收費期限分別不到1年、4年、5年和9年，面臨較大的持續發展壓力。
長韶婁高速公路東起長沙，途徑湘潭，西至婁底，收費里程140.772公里，於2014年12月31日通車，收費經營期30年。經過前期培育，長韶婁高速的盈利能力逐步增強，具備較好的投資價值。
此次參與項目競拍如獲成功，一方面公司高速公路運營里程將大幅提升，實現路網覆蓋湖南全省、路產貫通縱向和橫向的佈局，進一步提升公司在湖南省高速公路行業中的地位；另一方面，長韶婁高速的收費期限為30年，交易完成後，將有效緩解公司現有路產收費期屆滿後的持續經營壓力，也為公司培育新的利潤增長點提供了重要的項目支持，符合公司的發展戰略和全體股東利益。
由於支付交易對價的資金主要來源於公司自有資金和自籌資金，公司的負債規模短期內將有所增長，但目前公司總體債務規模可控，所經營的高速公路具有穩定的現金流，且公司具有較強的盈利能力和資金管理能力，有足夠能力支付此次現金交易對價和償付所有到期債務，此次收購不會對公司的正常運營造成重大不利影響。
