國藥科技股份(08156.HK)擬收購醫療防護用品公司51%股權
格隆匯2月18日丨國藥科技股份(08156.HK)公告，於2020年2月18日，公司透過其直接持股全資子公司-深圳國科防偽科技有限公司與崔國棟和李偉(原股東)及北京信郵世通投資顧問有限公司就轉讓山東德吉醫療用品有限公司(合營公司)51%股權事宜簽訂合資合同書。
根據合資合同，訂約雙方通過友好協商，原股東將以人民幣1元總價格向國科轉讓合營公司51%的股權。國科將按股權比例出資往合營公司，並共同經營合營公司。
合營公司註冊資本為人民幣500萬元整。公司股東共四方，國科持有合營公司51%的股權(出資人民幣255萬)，崔國棟持有合營公司24%的股權(出資人民幣120萬)，李偉持有合營公司12%的股權(出資人民幣60萬)，北京信郵世通持有合營公司13%的股權(出資人民幣65萬)。於本公告日，各訂約方並未就合營公司出資。根據合資合同，各訂約方需於2020年5月31日或以前按所持股數比例完成出資。
合營山東德吉醫療用品有限公司為一間以生產及銷售醫療防護用品為主的有限責任公司。
2020年伊始，中華大地正在面對新冠狀肺炎疫情擴散及防治的嚴峻考驗，突如其來的傳染性疾病對醫用及民用市場最直接的影響體現在醫療器械及醫用產品的總體產能不足、供需不平衡。公司擁有戰略股東的強大醫藥資源及商業網絡背景，在資金、自有品牌、平台及銷售資源等方面均具有較大優勢，因此同意與原股東合作，收購合營公司股權，共同經營合營公司，各盡其力。
先前與珠海華髮集團有限公司就緊急醫療物資採購形成長期戰略合作關係，國科進入實體醫療用品生產領域可為醫療物資的供應在成本可控的前提下提供穩定的貨源。以期在解決醫療器械及醫用產品短缺問題的關鍵時刻，承擔起企業應有的社會責任，擴大本公司在中國大陸的影響力及提高品牌聲譽。
在抗擊疫情的重要時期，公司多樣化的渠道優勢，加上合營公司能在短期內啟動的生產作業，可使合營公司的產量被需求市場迅速吸收。此外，疫情擴散恐對中國經濟帶來重創，醫療相關產業的正向營收對經濟復甦、市場交易回暖等方面亦形成託力。
公司憑藉線上線下的業務資源，更容易在醫療防護類細分領域脱穎而出，實現彎道超車。在新分支領域的業務佈局，豐富本集團戰略版圖，提供新的盈利可能。
