雲南城投(600239.SH)擬向雲南保利實業轉讓欣江合達60%股權
格隆匯2月18日丨雲南城投(600239.SH)公佈,2019年10月,公司與廣州金地房地產開發有限公司(下稱“廣州金地”)、公司控股股東省城投集團簽署了《合作框架協議》,擬就包含欣江合達在內的公司下屬公司部分股權及債權轉讓事宜同廣州金地開展合作,廣州金地已向公司支付共計人民幣22億元作為上述交易的誠意金,其中,廣州金地已就欣江合達60%股權轉讓事宜向公司支付誠意金6億元。
現結合公司經營需要,經協商,公司擬以協議轉讓的方式,向廣州金地關聯公司雲南保利實業轉讓標的股權,標的股權轉讓價款為4.91億元,標的股權轉讓價款最終不低於經國資監管機構備案的評估值。作為公司向雲南保利實業轉讓標的股權的條件之一,雲南保利實業應按標的股權比例(即60%)承擔截止實際支付日對應的欣江合達應付股東借款本息,截止2019年12月31日,雲南保利實業應承擔的股東借款本息暫計為6.72億元。以上股權轉讓價款及雲南保利實業應向欣江合達提供的股東借款暫合計為11.64億元。若公司未能取得國資監管機構出具的同意公司以“協議轉讓”方式向雲南保利實業轉讓標的股權的相關批准文件,則公司將按協議轉讓約定的同等條件,以公開掛牌的方式對外轉讓標的股權。
欣江合達為公司下屬控股子公司,目前的股權結構為:公司持股70%,昆明七彩雲南古滇王國投資發展有限公司(下稱“古滇公司”)持股30%。欣江合達是昆明市晉寧區“七彩雲南·古滇旅遊文化名城”項目南部的文化旅遊城市服務區部分用地(已摘牌21宗土地,面積合計約1331.28畝,下稱“項目”)的開發建設單位。
本次交易完成後,公司將持有欣江合達10%的股權,欣江合達將不再納入公司合併報表範圍。若古滇公司以同等價格對外轉讓其持有的欣江合達30%的股權,公司將放棄優先購買權。
