傲農生物(603363.SH)修改定增方案 對發行價格和定價原則、限售期等進行調整
格隆匯2月17日丨傲農生物(603363.SH)公佈，根據中國證監會於2020年2月14日公佈的修訂後的《上市公司證券發行管理辦法》《上市公司非公開發行股票實施細則》的相關規定，結合公司2019年11月5日披露的《關於實施限制性股票回購註銷後調整非公開發行股票數量上限的公告》所述事項及公司其他實際情況，公司於2020年2月17日召開第二屆董事會第二十一次會議，審議通過了《關於修改公司非公開發行股票方案的議案》，對本次非公開發行股票方案中的發行時間、發行對象、發行價格和定價原則、發行數量、發行股票的限售期進行了調整，發行方案的其他內容保持不變。
其中，發行價格和定價原則調整為：本次非公開發行股票的定價基準日為本次非公開發行股票發行期首日。本次非公開發行股票的發行價格不低於定價基準日前20個交易日公司股票交易均價的80%(定價基準日前20個交易日公司股票交易均價=定價基準日前20個交易日股票交易總額÷定價基準日前20個交易日股票交易總量)。若公司在該20個交易日內發生因派息、送股、資本公積轉增股本等除權、除息事項引起股價調整的情形，則對調整前交易日的交易價按經過除權、除息調整後的價格計算。
本次非公開發行股票的最終發行價格將由董事會與保薦機構(主承銷商)按照相關法律法規的規定及監管機構要求，根據投資者申購報價的情況，遵照價格優先等原則確定。傲農投資、吳有林接受公司根據競價結果確定的最終發行價格且不參與競價。
若公司股票在定價基準日至發行日期間發生派息、送股、資本公積金轉增股本等除權、除息事項，則本次非公開發行的發行價格將進行相應調整。
限售期調整為：本次非公開發行股票完成後，傲農投資、吳有林認購的股份自發行結束之日起18個月內不得轉讓，其他發行對象認購的股份自發行結束之日起6個月內不得轉讓。本次發行對象所取得公司本次非公開發行的股票因公司分配股票股利、資本公積轉增等情形所衍生取得的股份亦應遵守上述股份鎖定安排。與本次非公開發行股票相關的監管機構對於發行對象所認購股份鎖定期及到期轉讓股份另有規定的，從其規定。
