博暉創新(300318.SZ)擬間接收購主營分析科學儀器及耗材業務企業Interchim公司
格隆匯2月17日丨博暉創新(300318.SZ)披露發行股份購買資產並募集配套資金暨關聯交易預案，此次交易中公司擬向珠海奧森發行股份購買其為實施此次交易擬設立的境內SPV100%股權，珠海奧森擬通過該境內SPV最終持有Adchim SAS100%的股權。Adchim SAS系珠海奧森之母公司君正集團通過Newport Europe B.V.間接控制的公司，持股比例為100%；根據珠海奧森與Newport Europe B.V.簽署的《股權轉讓協議》，珠海奧森擬購買其持有的Adchim SAS100%股權。此次交易完成後，上市公司將通過境內SPV間接持有Adchim SAS 100%股權。
同時，上市公司擬向珠海奧森以非公開發行股份的形式募集配套資金。此次募集配套資金非公開發行股票數量不超過此次交易前上市公司總股本的30%，且募集配套資金總額不超過此次發行股份購買資產交易價格的100%。
由於目標公司於2019年10月22日成立，且目標公司為持股型公司，本身無實際經營業務，主要職能為直接持有Interchim公司的股權。
Interchim公司作為主要經營分析科學儀器及耗材業務的企業，掌握了色譜與分析科學、製備純化的相關技術，符合國家鼓勵的分析儀器製造的產業方向。公司目前共有檢驗檢測及血液製品兩大業務模塊，其中檢驗檢測模塊部分，公司已建立了成熟的質譜儀產品的研發、生產及銷售業務，產品可應用於環境、臨牀、生物醫學、食品、農業和地質等多個方向。因而，Interchim公司能夠與公司形成良好的業務互補，從而發揮協同效應。
此次交易順利實施後，公司能夠迅速建立以液相色譜為核心技術，橫跨生命科學、生物製藥、小分子新藥開發、環境監測和體外醫療診斷領域的產品線；公司分析儀器的產品線將得到拓寬，應用領域將進一步擴大，並使公司可以在技術儲備、產品性能等方面形成一定的競爭優勢。
同時，隨着國內在新藥開發、環境監測和食品安全等領域需求的快速增長，對以色質聯用為代表的高端檢測技術的需求亦呈現快速增長的態勢，公司通過此次交易，將進一步提升在臨牀檢驗領域的技術儲備和競爭力，並快速地切入“分離、分析與純化”市場，獲得更多的業務機遇與增長空間。
