神宇股份(300563.SZ)調整2019年度A股定增方案 涉及發行對象、定價方式及限售期等
格隆匯2月17日丨神宇股份(300563.SZ)公佈，公司第四屆董事會第九次會議召開，審議並通過了《關於調整公司2019年度非公開發行A股股票方案的議案》。
根據中國證券監督管理委員會於2020年2月14日發佈並施行的《創業板上市公司證券發行管理暫行辦法》(2020年修訂)，並結合公司情況，董事會根據公司2019年第一次臨時股東大會審議通過的《關於提請股東大會授權董事會辦理本次非公開發行股票相關事宜的議案》的授權，對本次非公開發行股票方案予以調整和完善，調整的主要內容為發行對象、定價方式和限售期，調整後的方案如下：
(1)發行對象及認購方式：本次非公開發行股票的對象為符合中國證監會規定條件的證券投資基金管理公司、證券公司、信託投資公司、財務公司、保險機構投資者、合格境外機構投資者(含上述投資者的自營賬户或管理的投資產品賬户)、其他合格的境內法人投資者和自然人等不超過35名的特定投資者。證券投資基金管理公司以其管理的兩隻以上基金認購的，視為一個發行對象；信託投資公司作為發行對象的，只能以自有資金認購。
最終發行對象由公司董事會根據股東大會的授權，按照中國證監會相關規定，根據競價結果與保薦機構(主承銷商)協商確定。本次發行的發行對象均以現金方式認購本次非公開發行股票。
(2)定價基準日、發行價格及定價方式：本次發行的定價基準日為發行期首日。發行價格為不低於定價基準日前20個交易日發行人股票交易均價的80%(定價基準日前20個交易日發行人股票交易均價=定價基準日前20個交易日股票交易總額/定價基準日前20個交易日股票交易總量)。若公司股票在定價基準日至發行日期間發生派息、送紅股、資本公積金轉增股本等除權、除息事項，本次發行價格將進行相應調整。
(3)限售期：本次發行對象所認購的股票自發行結束之日起六個月內不得上市交易。本次發行結束後，因公司送股、資本公積轉增股本等原因增加的股份，亦應遵守上述限售期安排，限售期結束後，根據中國證監會和深圳證券交易所等監管部門的相關規定執行。
