天保能源(01671.HK)拟收购天津津能临港热电51%股权
格隆汇2月17日丨天保能源(01671.HK)发布公告，2020年2月17日，公司作为买方与天津津能滨海供热集团有限公司订立产权交易合同，据此，公司同意收购天津津能临港热电有限公司(“目标公司”)51%股权，对价为公司就收购事项应向卖方支付的现金对价人民币1.0088亿元(包括保证金)以及提供为人民币3825万元的担保，共计人民币1.3913亿元。
完成前，临港公用事业和卖方分别持有目标公司49%和51%的股权。完成后，公司将持有目标公司51%的股权，而目标公司亦因此将成为公司的一家非全资附属公司。于该公告日期，公司已支付与收购事项有关的保证金人民币3000万元，且其由天津产权交易中心代为公司保管。
为满足目标公司热源项目蒸汽锅炉及附属设施及其他建设工程的建设资金需求，目标公司于2012年11月向国家开发银行贷款人民币2亿元。于该公告日期，尚未偿还的贷款金额为人民币7500万元，有关金额由目标公司一位前股东和临港公用事业担保。作为产权交易合同对价的一部分，公司须就人民币3825万元(即于该公告日期尚未偿还贷款金额的51%)为目标公司提供连带责任担保。
目标公司于2009年5月8日成立，收购完成前，临港公用事业和卖方分别拥有其49%和51%的权益。目标公司主要在天津市从事蒸汽的生产及供应。目标公司于2011年11月8日通过直接购买方式从天津市滨海新区规划和国土资源管理局收购场所并自行开发建设。该场所位置位于天津市滨海新区临港经济区海河中道418号，土地总面积约86,005平方米，总建筑面积约24,608平方米，土地购买价格人民币6665.36万元，目前由目标公司持有。
场所主要由目标公司的生产设施组成。该等生产设施的建筑面积约为24,608平方米，包含所有必需的设备(如蒸汽锅炉及脱硫设备)，以供目标公司经营业务及生产及供应蒸汽。于该公告日期，部分燃煤锅炉在进行升级改造，且该升级改造项目为在建项目，预计能按时完工。
公告表示，公司是一家主要在天津港保税区(海港)提供电力和供热能源服务及维护服务的能源运营商，而目标公司主要在其服务区域生产及供应蒸汽。因为公司将和目标公司提供的服务类似，所以收购事项会在两家公司之间产生协同效应，并有助于经扩大集团达成规模经济。因为目标公司拥有良好的业务基础且发展潜力巨大，故公司或会增加其收入来源，通过收购事项来提高其利润，并逐步提高其于天津市各地区能源服务行业的地位。
