延安必康(002411.SZ)：兩股東擬被動減持不超3002.94萬股
格隆匯2月14日丨延安必康(002411.SZ)公佈，公司於2020年2月14日分別收到公司股東周新基、陝西北度新材料科技有限公司(“陝西北度”)的通知，周新基、陝西北度前期所質押股份存在的被動減持情況並未得到全部解決，仍需與相關質權人進行積極溝通，未來可能仍存在繼續被動減持的情形；周新基為償還個人債務，擬減持所持部分公司股份。截至2020年2月13日，周新基持有公司股份9200.79萬股，佔公司總股本的6.00%；陝西北度持有公司股份1638.49萬股，佔公司總股本的1.07%。
陝西北度與公司控股股東新沂必康新醫藥產業綜合體投資有限公司(“新沂必康”)、實際控制人李宗鬆及公司持股5%以上股東華夏人壽保險股份有限公司為一致行動人，屬於《上市公司收購管理辦法》規定的一致行動人，根據規定，陝西北度、新沂必康、李宗鬆將合併計算減持股份的比例。目前，李宗鬆及其一致行動人正在通過多種途徑解決股權質押問題，降低平倉風險。
鑑於周新基系公司董事，2020年度可減持數量不超過截至2020年1月1日周新基所持公司股票的25%，即不超過2612.12萬股，不超過公司總股本的1.70%；截至2020年2月13日，周新基2020年度已減持股份數量為1247.67萬股，佔公司總股本的0.81%，因此，剩餘可減持股份數量為1364.45萬股，佔公司總股本的0.89%，且遵守任意連續九十個自然日通過集中競價交易減持股份數量不超過公司總股本的1%；通過大宗交易方式減持股份數量不超過公司總股本的2%。如計劃減持期間有派息、送股、資本公積金轉增股本、配股等除權除息事項，減持股份數量將相應進行調整。此次減持方式：集中競價交易或大宗交易，減持期間：自2020年3月13日起90個自然日內。
陝西北度自2020年3月9日起90個自然日內擬被動減持數量不超過1638.49萬股，即不超過公司總股本的1.07%。任意連續九十個自然日內，陝西北度及其一致行動人合計通過集中競價交易減持股份的總數不得超過公司股份總數的1%，通過大宗交易減持股份的總數不得超過公司股份總數的2%，如計劃減持期間有派息、送股、資本公積金轉增股本、配股等除權除息事項，減持股份數量將相應進行調整。
