電聲股份(300805.SZ)擬增加天諾營銷為募投項目“體驗營銷服務升級擴容建設項目”實施主體並向其增資6000萬元
格隆匯2月14日丨電聲股份(300805.SZ)公佈，2020年2月14日，公司第二屆董事會第九次會議審議通過了《關於對募投項目“體驗營銷服務升級擴容建設項目”增加實施主體暨使用募集資金增資全資子公司的議案》、《關於全資子公司設立募集資金專項賬户並簽訂募集資金專户存儲三方監管協議的議案》，同意根據公司自身發展戰略及實際經營需要，增加全資子公司廣州市天諾營銷策劃有限公司(“天諾營銷”)為募投項目“體驗營銷服務升級擴容建設項目”的實施主體並使用募集資金向全資子公司天諾營銷增資人民幣6000萬元；基於前述募集資金使用安排，同意天諾營銷在平安銀行股份有限公司廣州分行下屬支行平安銀行廣州中石化大廈支行開設募集資金專户，同意公司、全資子公司天諾營銷、與存放募集資金的商業銀行平安銀行股份有限公司廣州分行及保薦機構廣發證券股份有限公司簽訂募集資金三方監管協議，加強對募集資金的管理。同日，公司監事會第五次會議也審議通過了《關於對募投項目“體驗營銷服務升級擴容建設項目”增加實施主體暨使用募集資金增資全資子公司的議案》。
體驗營銷服務升級擴容建設項目是對公司原有體驗營銷網絡的升級和優化，旨在為公司爭取總部客户和區域客户創造更為有利的條件。本項目將在廣州、北京、上海、成都分別擴建一級運營中心和展示中心；在瀋陽、長春、青島、南京、武漢、長沙、杭州、廈門、西安、重慶建立二級運營中心，進一步擴大業務規模，增強公司市場競爭力，形成更廣泛的業務覆蓋網絡，滿足更多客户的營銷服務需求，既能為公司爭取總部客户和區域客户創造有利條件，又能為區域活動的有效開展提供豐富的當地資源，提高區域活動價值。
同時，為增強公司的市場競爭力，提升體驗互動技術的創新性，為客户創造更優的品牌營銷體驗，基於體驗式營銷展示中心的運營經驗和良好效果，計劃在北京、上海、廣州、成都四地繼續擴建高規格展示中心。
綜合考慮全資子公司天諾營銷同樣從事體驗營銷綜合服務，目前也在對原有體驗營銷網絡的升級和優化，因此公司擬增加天諾營銷參與此次項目的具體實施。實施主體的增加有利於加快推進募投項目建設，提高募集資金使用效率。有利於公司長遠發展，有利於維護全體股東的利益。
為了便於募集資金管理並促進募投項目順利實施，公司擬使用募集資金對新增募投項目實施主體天諾營銷增資人民幣6000萬元。針對上述增資款，公司及天諾營銷將簽署相關監管協議並進行專户管理。除前述變更外，本募投項目的其他內容不發生變化。
此次增加的募投項目實施主體天諾營銷為公司的全資子公司，增加實施主體是基於募投項目實際運營的需要，有利於募投項目順利實施，提高募集資金使用效率，有利於加快募集資金投資項目的實施進度，增強經營效益和盈利能力，符合公司的發展戰略和長遠規劃。此次新增募投項目實施主體未改變募集資金的投資方向，不存在損害股東利益的情況，不會對項目實施造成實質性影響，不會對公司財務狀況產生不利影響。
