中裝建設(002822.SZ)擬1.68億元收購嘉澤特100%股權
格隆匯2月13日丨中裝建設(002822.SZ)披露發行股份及支付現金購買資產並募集配套資金報告書(草案)，此次交易包括髮行股份及支付現金購買資產、發行股份募集配套資金兩個部分。此次交易方案為中裝建設擬向嚴勇、蔡史鋒、王莉、尹建橋、陳東成、張國清、朱宜和、王光增、魏春暉、陳金明、陳文、高秀英及李連明非公開發行股份及支付現金購買其持有的嘉澤特100%股權，同時擬採取詢價的方式向不超過10名符合條件的特定投資者非公開發行股份募集配套資金。
此次交易上市公司擬以詢價方式向不超過10名特定投資者非公開發行股票募集配套資金，用於支付此次收購標的資產的現金對價、中介機構費用，並用於上市公司補充流動資金及償還銀行借款。募集配套資金不超過1.176億元，不超過此次發行股份購買資產交易對價的100%。此次募集配套資金扣除中介機構費用後，優先支付此次交易的現金對價，剩餘資金用於上市公司補充流動資金及償還銀行借款。
上述交易標的中，嘉澤特為持股型公司，其主要資產為持有深圳市科技園物業集團有限公司51.63%股權。此次交易完成後，中裝建設將持有嘉澤特100%股權，間接持有科技園物業51.63%股權。
根據《評估報告》和《資產購買協議》及《業績承諾之補償協議》，經上市公司與交易對方協商，各方確定嘉澤特100%股權的交易對價為1.68億元。
根據上市公司與嚴勇、蔡史鋒、王莉等 13名自然人股東簽署的《深圳市中裝建設集團股份有限公司與深圳市嘉澤特投資有限公司全體股東之發行股份及支付現金購買資產協議》及《深圳市中裝建設集團股份有限公司與深圳市嘉澤特投資有限公司全體股東關於標的資產業績承諾之補償協議》，業績承諾期為此次發行股份及支付現金購買資產實施完畢當年起的三個會計年度(如此次發行股份購買資產在2020年度完成，則為2020年、2021年及2022年，以此類推)。根據雙方協商，全體交易對方承諾，標的公司2020年、2021年、2022年實現歸屬母公司所有者淨利潤分別不低於1291萬元、1446萬元、1601萬元。
公司此次收購嘉澤特100%股權，實現間接控制科技園物業公司。科技園物業公司在2018年度廣東省物業服務綜合實力排名28位，在深圳市2018年度物業服務綜合實力排名第18位，此次收購有助於公司獲得發展資源，在確保傳統業務穩定增長的同時，積極拓展、扶持新領域、新產業，尋找新的利潤增長點，探索、嘗試新型業務及模式。此次收購有助於增強上市公司綜合實力，將進一步做大做強公司物業管理業務，提升公司核心競爭力，符合公司未來發展戰略和長遠規劃。
