東華能源：擬與馬森能源簽訂液化石油氣銷售框架協議及倉儲轉運合同
格隆匯2月12日丨東華能源(002221.SZ)公佈，公司於2020年1月12日召開第五屆董事會第十一次會議，審議通過了《關於與馬森能源簽訂液化石油氣銷售框架協議暨關聯交易的議案》和《關於與馬森能源簽訂液化石油氣倉儲轉運協議暨關聯交易的議案》，同意公司向關聯方馬森能源(新加坡)有限公司(“馬森能源”)含其境內子公司轉售部分尚未到期的北美長約項下的貨物、出售富餘丙烷和進口丁烷，並向其提供倉儲轉運等服務。所涉關聯交易主要包括：
1、與馬森能源簽訂《液化石油氣銷售框架協議》，(1)將尚在執行中的美國產地液化石油氣長期供應合同項下的貨物，以國際貿易的方式轉售給馬森能源或其子公司；(2)基於優化船期、優化質量、調整貨物結構及庫存處理等考量，對於公司採購的液化石油氣中需出售的部分，包括富餘丙烷和進口丁烷，通過國際、國內貿易方式出售給馬森能源或其子公司。
2、與馬森能源簽訂《液化石油氣倉儲轉運合同》，由於馬森能源及其子公司承繼經營LPG國內外貿易等業務，為實現資產效益最大化，同意其租用公司現有的部分碼頭和倉儲資源。
公司為集中資源建設茂名、寧波烷烴資源綜合應用產業基地、促進公司業績穩定增長、提高公司盈利能力，實現公司由全球最大的烷烴資源綜合商社向全球領先的綠色化工生產商和優質氫能源供應商成功轉型，經第五屆董事會第十次會議審議通過：退出LPG國際及國內貿易業務，並將相應的貿易類資產從公司剝離。向馬森能源轉售部分尚未到期的北美長約項下的貨物、出售富餘丙烷和進口丁烷，並向其提供倉儲轉運等服務，實質上是公司退出LPG國際貿易及國內分銷業務後對現存業務的處置。
東華能源作為全球最大的烷烴資源綜合商社，在全球LPG貿易體系中具有較大的影響力和一定的話語權。LPG貿易不僅要保障公司綠色化工和氫能源業務的原料需求，也要確保中國在國際LPG市場上擁有一定的話語權，避免國際能源巨頭操控市場引起價格大幅波動，對國內丙烷產業鏈的健康發展帶來衝擊。將貿易類資產剝離給馬森能源，有利於公司掌控LPG資源，保障化工原料供應安全，儘可能降低LPG交易價格大幅波動對國內LPG市場和相關化工行業帶來的不利影響。將現有碼頭、倉儲資源供馬森能源租用，有利於公司在保證自用的基礎上，實現資產效益的最大化。
上述關聯交易所產生的淨現金流，將主要用於茂名項目的建設。有利於減少公司在國際和國內貿易上的資金佔用額度，有利於減輕財務負擔，提升公司盈利水平。有利於公司由全球最大的烷烴資源綜合商社向全球領先的綠色化工生產商和優質氫能源供應商成功轉型，並將產業鏈延伸至氫能源產業和以PP為原料的新材料產業，成為以新能源、新材料為主的戰略性新興產業踐行者。
