融鈺集團(002622.SZ)：解直錕將成為公司實控人
格隆匯2月12日丨融鈺集團(002622.SZ)公佈，2020年2月10日，公司接到公司第一大股東匯垠日豐之普通合夥人及執行事務合夥人匯垠澳豐的通知，匯垠澳豐與北京首拓融匯於2020年2月10日簽署《廣州匯垠澳豐股權投資基金管理有限公司與北京首拓融匯投資有限公司之合作協議》，根據合作協議約定，匯垠澳豐將根據北京首拓融匯的諮詢意見及投資建議行使其作為匯垠日豐普通合夥人、執行事務合夥人及粵財信託•永大投資1號集合資金信託計劃投資顧問所擁有的上市公司股東權利(包括但不限於表決權、提名權、召集權、提案權在內的股東權利，但不包括資產收益權)；北京首拓融匯為匯垠澳豐唯一、排他的合作方，且除非北京首拓融匯的諮詢意見及投資建議違反相關法律法規的規定及合作協議的約定，否則匯垠澳豐應予以遵循執行。
根據匯垠澳豐出具的承諾函，匯垠澳豐承諾在合作協議有效期內且在不違反匯垠日豐合夥協議、資管計劃投顧協議及合作協議的前提下，關於公司股票及相關權益等事項，其確保無論以何種法律身份發出的任何投資指令、投資建議、決定或提起的議案均保持一致。
此外，信託計劃的受益人浦發銀行廣州分行將其享有的前述信託計劃的一般信託受益權和優先信託受益權轉讓給北京首拓融匯，其中一般信託受益權的轉讓時間為2020年1月6日，優先信託受益權的轉讓時間為信託計劃到期日2023年6月30日(含提前到期日)，北京首拓融匯將在履行完給付轉讓價款義務後取得相應的一般信託受益權和優先信託受益權。
此次權益變動前，北京首拓融匯未持有上市公司股份。上市公司的第一大股東為匯垠日豐，匯垠日豐的普通合夥人及執行事務合夥人為匯垠澳豐，有限合夥人為平安匯通代表的平安匯通-廣州匯垠澳豐7號專項資產管理計劃(資金來自粵財信託•永大投資1號集合資金信託計劃)，匯垠澳豐為前述資管計劃、信託計劃的投資顧問。根據匯垠日豐合夥協議及相關資管計劃合同、信託計劃合同等，匯垠澳豐享有匯垠日豐的控制權；由於匯垠澳豐無實際控制人，上市公司無實際控制人。
此次權益變動完成後，北京首拓融匯將通過匯垠日豐間接控制上市公司23.81%的股份對應的表決權。匯垠日豐仍為上市公司的第一大股東，北京首拓融匯的實際控制人解直錕將成為上市公司的實際控制人。
