思源電氣：擬向天鉑雲科增資3200萬元 利於拓展紅外技術等在電力設備行業應用
格隆匯2月12日丨思源電氣(002028.SZ)公佈，公司以自有資金3200萬元投資杭州天鉑雲科光電科技有限公司(“目標公司”)，獲得目標公司本輪增資後總股本的10%的股權。該項投資屬財務投資。各方同意由思源電氣以貨幣資金計3200萬元獲得目標公司本輪增資後基於完全攤薄基礎(即任何股東或任何其他方已行使其認購權、可轉換債權或其他可轉換為目標公司股權的權利，若存在)10%的股權，即各方同意將目標公司註冊資本由3000萬元增加至3333.3333萬元，由思源電氣以貨幣資金計3200萬元認繳目標公司此次全部新增註冊資本，其中333.3333萬元作為註冊資本，溢價計2866.6667萬元計為目標公司的資本公積，由目標公司此次增資後的股東按照股權比例享有。
目標公司及其核心團隊長期致力於高精度測温型紅外熱像儀的研發和生產，擁有紅外圖像識別、設備智能診斷、大數據分析和行業解決方案在內的自主知識產權。目標公司主營業務分為以下幾類：
(1)測温型紅外熱像儀的研發和生產，主要用於電力設備運行狀態檢測和實時監測。測温型紅外熱像儀是以設備的熱狀態分佈為依據對設備運行狀態良好與否進行診斷，它具有不停運、不接觸、遠距離、快速、直觀地對設備的温度分佈狀態進行成像，可以通過對設備熱像圖的分析來診斷設備的狀態及其隱患缺陷，可以判斷電力設備運行狀況，確保了設備安全可靠運行。
(2)紅外精確無損檢測服務。目標公司研發的測温型紅外熱像儀綜合了紅外圖像識別、設備智能診斷、大數據分析等專利技術，可實現了電力設備紅外熱像分析全智能化，具備效率高、操作簡單、上手快的特點，因此公司成立專門隊伍開展紅外精確無損檢測服務業務。隨着國網和南網對電力設備安全可靠運行日益重視，目標公司的檢測服務業務快速成長。目前目標公司經過多年檢測服務，積累了數億台(套)電力設備温度分佈數據，有助於目標公司開展大數據分析，用於電力設備缺陷分析評定。
此次新型冠狀病毒感染的肺炎疫情期間，測温型紅外熱像儀及服務出現爆發性的市場需求，目標公司快速反應，組織生產，先後為醫院、高速公路、地鐵、政府機關等提供了120多台套全自動測温型紅外熱像設備並提供解決方案，幫助疫情防控一線工作人員提高效率，減少接觸感染風險。
此次投資為財務投資，有利於公司瞭解並拓展紅外技術、大數據技術、圖像識別技術等在電力設備行業的應用。此次投資對公司本年度的財務狀況和經營成果不會產生重大影響。
