東土科技：擬購買佰能電氣100%股權及東土軍悦30.17%股權 明起復牌
格隆匯2月11日丨東土科技(300353.SZ)披露發行股份及支付現金購買資產並募集配套資金預案，公司擬以發行股份及支付現金的方式購買佰能電氣100%股權，擬以發行股份方式購買國開基金持有東土軍悦30.17%股權，並向不超過法規限定數量的特定投資者以非公開發行股份方式募集配套資金。
截至預案簽署日，佰能電氣的審計、評估工作尚未完成，其預估值及交易價格均暫未確定。經交易各方協商，最終標的資產的交易價格將以評估值為基礎確定，交易價格不低於16億元。
東土科技擬向不超過法規限定數量的特定投資者以非公開發行股份方式募集配套資金，此次發行股份募集配套資金預計不超過此次擬以發行股份方式購買資產交易價格的100%。此次募集配套資金擬用於支付此次交易的現金對價、此次交易相關中介機構費用、投入標的公司項目建設、補充上市公司和標的公司流動資金等，募集資金具體用途及金額將在重組報告書（草案）中予以披露。
經公司申請，公司股票將於2020年2月12日開市起復牌。
此次交易前，上市公司主要從事工業互聯網平台性技術和產品的研發，用工業互聯網技術創新各行業解決方案，不斷推進其產品和服務在智慧工業、智慧軍事、智慧能源、智慧城市等領域的應用，不僅在工業通信行業佔據領先地位，而且向工業互聯整體技術解決方案提供商進行延展。截至目前，上市公司的主營業務中，防務及工業互聯網產品佔比較高，其次為大數據及網絡服務業務。
佰能電氣主要提供工業企業自動化、智能化綜合系統的工程及技術服務，以及節能減排的工程和技術服務等。此次交易完成後，佰能電氣將成為上市公司的全資子公司，上市公司結合自身發展戰略、充分發揮現有工業互聯網平台性技術的優勢，與佰能電氣在工業企業，尤其是大型冶金行業企業的電氣自動化、節能減排綜合服務等領域推進業務協同，推進工業互聯網創新產品和解決方案在相關行業的應用。
東土軍悦主要從事軍用以太網交換機產品、視音頻傳輸平台的研發、生產及銷售，在通信技術應用領域具有多項核心技術。此次交易完成後，上市公司對東土軍悦的控制比例將進一步提升，上市公司將得以進一步加強對該業務板塊的控制力度、鞏固軍品銷售，並有效深化相關產品在防務市場的應用。
