三五互聯：擬發行股份及支付現金購買上海婉鋭100%股權
格隆匯2月11日丨三五互聯(300051.SZ)披露發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，公司擬以發行股份及支付現金的方式購買上海婉鋭100%股權，其中上市公司擬以股份支付的比例初步確定為55.56%，擬以現金支付的比例初步確定為44.44%。此次交易完成後，上海婉鋭將成為上市公司的全資子公司。
此次交易中，上市公司擬向不超過法規限定數量的特定投資者非公開發行股票募集配套資金，募集配套資金總額不超過此次發行股份購買資產交易價格的100%，擬用於支付此次交易的現金對價、中介機構費用和補充流動資金等。實際募集配套資金不足部分由公司自有或自籌資金解決。
此次發行股份及支付現金的交易對方為上海婉鋭的全體股東，即星夢工廠、萍鄉網信、廣州信德、北京微夢、協贏夥伴、廣遠眾合和姜韜。截至預案簽署日，星夢工廠、萍鄉網信、姜韜3名標的公司主要股東已經與上市公司簽署了《附生效條件的股權收購協議》，3名股東合計持有標的公司84.1541%的股權。廣州信德、北京微夢、協贏夥伴、廣遠眾合4名股東由於內部蓋章審批流程所需時間較長，且受新型冠狀病毒肺炎疫情的影響，無法在預案簽署日前與上市公司簽署此次重組相關的協議。上述4名股東已通過通訊方式確認，同意此次交易方案，並同意與上市公司簽署此次交易的相關協議。上市公司最遲將於此次重組報告書披露前與所有交易對手方簽訂正式協議。
根據上市公司與業績承諾方達成的《業績補償協議》，此次交易業績承諾期為2020年、2021年、2022年三個會計年度，若此次交易在2021年實施完畢，則業績承諾期將順延至2023年。業績承諾方承諾標的公司在業績承諾期內經審計的歸屬母公司股東淨利潤累計不少於2億元；標的公司累計經營活動現金流量淨額不低於累計承諾淨利潤的60%；截至2019年12月31日，標的公司經審計的歸屬母公司股東的所有者權益不低於人民幣1億元。

此次交易完成後，上市公司將切入MCN行業，深入佈局泛生活IP運營和互聯網營銷領域，構建新零售平台。
