漢得信息：參股公司甄匯科技增資擴股 華興新進，軟銀、藍湖等跟投
格隆匯2月10日丨漢得信息(300170.SZ)公佈，公司2020年2月10日召開的第四屆董事會第六次(臨時)會議審議通過了《關於參股子公司上海甄匯信息科技有限公司股權轉讓及增資擴股暨關聯交易的議案》。甄匯科技現有股東漢得信息、軟銀成長、眾數投資、陳迪清、範建震、藍湖資本、上海得泛、眾麟投資、莊為羣、上海匯宣及新增股東華興、Blue Lake(與藍湖資本合稱“藍湖”)、倪納達成如下協議：
張長征、範建震及陳迪清擬設立一家有限合夥企業(“範陳持股平台”)，一經設立完成，範建震、陳迪清會立即將其持有的標的公司全部股權以及相應的權利義務轉讓給範陳持股平台；莊為羣擬將其持有的標的公司全部股權以及相應的權利義務全部轉讓給倪納；華興擬以人民幣1,499.99萬元的對價購買眾麟投資持有的標的公司人民幣10.0285萬元的註冊資本；華興、軟銀成長、眾數投資、範陳持股平台、上海得泛擬以人民幣21,685.83萬元的認購價款，認購標的公司人民幣144.9853萬元的新增註冊資本；Blue Lake 擬以1,200萬美元的認購價款，基於149.5725元人民幣的投資單位價格認購標的公司的新增註冊資本；自美元交割日起，各方同意上海匯宣應以零對價認購對應美元交割日後5%公司股權的公司新增註冊資本，因此包括Blue Lake在內的公司各股東的股權比例將等比例的被稀釋5%。
此次股權轉讓及增資擴股前，公司持有甄匯科技31.50%的股權；此次美元增資前，公司持有甄匯科技24.7822%的股權。
甄匯科技專注為企業用户提供更優質的商旅出行及報銷管理全流程服務，即匯聯易產品的開發、運營及維護相關業務。由於甄匯科技的客户羣體不但包括公司現有的大中型的企業客户，還包括相對中小規模的企業客户，客户羣體的差異性及廣泛性也決定了這一類創新業務在產品研發、市場營銷、客户開拓、創新激勵等方面均有更高的資金需求。
目前，匯聯易仍處於業務開拓期，仍需加強研發，擴大市場規模來提升產品競爭力，因此仍存在較大的潛在風險和一定的不確定性，市場推廣的資金需求和創新人才團隊的建設和完善是亟待解決的現實問題，並且雲產品業務的研發投資規模較大，投資回收期相比傳統業務也較長。
而此次投資方包括華興、軟銀成長、眾數投資、Blue Lake等具有較為豐富的互聯網及TMT行業項目投資經驗，不僅能為甄匯科技的發展提供必要的資金支持，還可以在創新業務模式、吸納優秀人才、建立現代企業制度、尋找戰略合作伙伴等方面為其提供專業支持、經驗和資源；另一方面，也能為甄匯科技的運營推薦並引入領先的管理及技術人才，也可在市場推廣策略、銷售團隊建立等方面提供良好的指導和建議。
