海德股份：與華金證券簽署《戰略合作協議》
格隆匯2月10日丨海德股份(000567.SZ)公佈，2020年2月10日，公司(“甲方”)與華金證券股份有限公司(“華金證券”、“乙方”)簽署了《戰略合作協議》，雙方為實現互惠互利、共創共贏的原則，擬在“金融+實業”的合作模式下，在資本運作、資產管理、不良資產管理基金、特殊機遇基金及其他業務方面等建立戰略合作關係。具體合作的工作範圍和內容包括：
1.甲方優先與乙方合作的內容
(1)資本運作服務
雙方將在證券市場上建立長期穩定的合作關係。在同等條件下甲方優先選擇乙方為其提供以下資本運作服務：1)甲方進行公開及非公開的股權融資；2)甲方進行公開及非公開的債權融資；3)甲方開展的併購重組財務顧問業務及其他財務顧問業務；4)甲方進行股權轉讓涉及的財務顧問業務；5)甲方進行股權激勵(包含員工持股計劃)、市值管理等。
(2)資產管理服務
1)資管業務服務
①甲方及其關聯方如有資產配置需求，則可優先參與認購乙方作為管理人發起設立的資產管理計劃產品或參與乙方擔任投資顧問的產品，甲方可優先考慮指定乙方為甲方及其關聯方提供資產配置專業意見及金融服務；
②乙方優先考慮以甲方及其關聯方作為投資標的，圍繞甲方及其關聯方的融資需求，由乙方綜合運用資產管理計劃等證監會許可的金融產品為甲方提供綜合性的資產管理服務。
2)項目推薦
①如甲方及其合作企業下屬有符合資產證券化基礎資產要求的相關資產，甲方可優先向乙方推薦；
②如甲方及其合作企業有非標準化資產融資需求的項目，甲方可優先向乙方推薦；
③如甲方及合作企業有其他投資及融資需求的項目，甲方可優先向乙方推薦。
(3)股權託管服務
甲方優先選擇乙方為其提供股權託管服務。
2.乙方優先與甲方合作的內容
(1)信息化建設合作
乙方在日常經營中涉及的信息化建設工作，可優先考慮甲方提供的相關產品或服務，並可積極向股東方及其他關聯方推薦相關產品或服務。
(2)股權投資合作
乙方可優先與甲方及其關聯企業聯合開展股權投資業務，並根據具體情況發起不良資產管理基金、特殊機遇基金、產業併購基金及相關服務。雙方在投資合作中，可以共享項目資源，充分發揮各自的優勢，強強聯合，達到共贏。
(3)財富管理服務
乙方根據甲方及其關聯方的財富管理需求、風險偏好，為甲方優先配置私行資源，向其提供資產配置、投資顧問、定製化產品等財富管理服務。
(4)研究業務
1)乙方優先安排資源接受甲方委託撰寫行業專題報告。該報告內容包括前期調研、市場分析、專家訪談、報告撰寫、後續評估、風險分析等方面。報告形式可以為月報、季報、年報；2)乙方優先安排資源協助甲方開展市值管理工作；3)乙方研究所可邀請甲方參加乙方年度策略會和專題交流研討會，專題研討會可以根據甲方需求進行安排。
