索菲亞(002572.SZ)：實施重疫情區域優質經銷商專項援助計劃
格隆匯2月6日丨索菲亞(002572.SZ)公佈，公司董事長江淦鈞提議召開臨時董事會審議實施重疫情區域優質經銷商專項援助計劃。
2020年新型冠狀病毒對各地實體經營產生了一定的影響。為積極承擔社會責任，響應公司一貫堅持的“長期穩定、合作共贏的合夥夥伴關係”，董事會決定對身處疫情區域的優質經銷商實施專項援助，具體內容如下：
1、身處疫情嚴重區域的優質經銷商可享受公司提供的賒銷政策；
2、本項援助計劃涉及的經銷商賒銷信用額度，在公司合併報表範圍內，在任意連續12個月內累計不超過3億元人民幣；
3、董事會同意授權索菲亞家居股份有限公司總經理決定本次專項援助的具體事宜並採取必要措施促成本次專項援助落地，包括但不限於實施辦法、實施細則以及實施時間等相關事項；其可以指令公司經營管理層根據經銷商所在地區疫情情況以及公司現有內部控制管理制度擬定落地本次援助計劃的有關管理細則，並根據索菲亞家居股份有限公司總經理的決定執行本次援助計劃的具體事務。
2020年2月6日，公司召開第四屆董事會第十一次臨時會議，審議通過了《關於實施重疫情區域優質經銷商專項援助計劃的議案》。同意上述安排和授權事宜。
此次事項屬於公司董事會權限範圍內，無需提交公司股東大會審議。
此次援助計劃所使用的信用額度預計任意連續12個月累計金額不超過3億元人民幣，佔2018年經審計的總資產的比例為不超過3.84%，佔2018年經審計的淨資產的比例為不超過6.21%；佔2019年淨資產(未經審計)的比例為不超過5.52%。
公司2018年末和2019年末賬面貨幣資金及一年內到期保本理財餘額合計為26.20億元和24.97億元。本次援助計劃涉及的信用額度於任意連續12個月累計不超過3億元，不會影響公司正在實施的現金分紅政策，也不會對公司現有的在進行的投資項目、大宗工程業務造成影響。公司的持續經營能力及長期發展不會受到本次信用額度政策的影響。
安排此次援助計劃是公司積極落實履行上市公司社會責任的表現，有助於行業生態的可持續健康發展。
