金盾股份(300411.SZ)：上虞法院判決駁回原告山鷹公司對公司的訴訟請求
格隆匯2月6日丨金盾股份(300411.SZ)公佈，公司於近日收到浙江省紹興市上虞區人民法院(“上虞法院”)送達的“(2018)浙0604民初9365號”《民事判決書》，上虞法院判決駁回原告山鷹(上海)融資租賃有限公司(“山鷹公司”)對公司的訴訟請求。
上虞法院作出的“(2018)浙0604民初9365號”《民事判決書》認為：
1、原告山鷹公司與金盾消防簽訂的融資租賃合同不存在法定無效之情形，應認定為有效，原告依約向金盾消防支付購買融資租賃物的價款3000萬元並將租賃物出租給金盾消防，金盾消防應按合同約定向原告支付租金。
2、被告周純、汪銀芳自願為金盾消防向原告的融資租賃合同項下包括但不限於保證金、租金、違約金等各種款項承擔連帶保證責任，兩人應對金盾消防欠付原告的上述租金及違約金承擔連帶清償責任。
3、關於被告金盾股份保證責任是否成立，涉及上市公司對外擔保的審查認定。根據原告兩次庭審陳述,當時以公司名義與原告簽訂保證擔保函的行為人系周建燦、張汛。結合本案，審查保證擔保函是否有效，一應審查是否構成越權代表，即擔保有無經過金盾股份決議機關決議，二應審查原告是否善意,即原告是否知曉或應當知曉超越權限。
金盾消防系周建燦為法定代表人及實際控制人的企業，周建燦與金盾消防存在關聯關係，系金盾股份的關聯方，故為金盾消防提供擔保須符合金盾股份章程的規定，應由董事會決議後提交股東大會審議。涉案擔保事項未經金盾股份股東大會審議，應認定周建燦的行為系越權代表行為。金盾股份繫上市公司，其區別於非上市公司的重要一點在於公開披露制度及公開披露行為，上市公司召開股東大會需提前公告、大會結束後也應及時公告,原告作為合同相對人應該查閲也十分容易即可查閲到股東大會對涉案擔保事項的決議，原告未進行查閲或未查閲到股東大會決議事項,應當知曉簽約代表的行為越權，其與代表人簽訂保證擔保函明顯缺乏善意,保證擔保函對金盾股份不發生效力。金盾風機作為上市公司，其公司章程亦對外進行公告披露,原告作為從事融資租賃交易業務專業機構及接受擔保的合同相對人，應當認定原告知曉或應當知曉章程關於擔保決議的規定，其僅審查董事會決議，未審查股東大會決議，缺乏善意。
原告缺乏善意，保證擔保函對金盾股份不發生效力,原告訴請金盾股份承擔保證責任於法無據，本院不予支持。因原告明知簽約代表超越權限,其亦無依據請求金盾風機承擔合同無效後的民事責任。
故上虞法院判決如下：
1、周純、汪銀芳於本判決生效、浙江金盾消防裝備有限公司破產程序終結後十日內支付山鷹(上海)融資租賃有限公司融資租賃款1231.38萬元(扣除其在浙江金盾消防裝備有限公司破產程序中可得清償的部分)。
2、駁回山鷹(上海)融資租賃有限公司對公司的其他訴訟請求。
