天和防務(300397.SZ)擬購買南京彼奧49.016%股權及華揚通信40%股權
格隆匯2月4日丨天和防務(300397.SZ)披露發行股份購買資產並募集配套資金預案，公司擬通過發行股份的方式購買龔則明、黃雲霞、張傳如、鍾進科、徐悦合計持有的南京彼奧49.016%的股權，購買李漢國、李海東、黃帝坤、熊飛、邢文韜、陳正新、張偉、天興華盈合計持有的華揚通信40.00%的股權。此次交易完成後，南京彼奧和華揚通信將成為上市公司的全資子公司。同時上市公司擬向不超過法規限定數量的特定投資者以非公開發行股份的方式募集總額不超過此次發行股份購買資產交易價格的100%且發行股份數量不超過此次交易前上市公司總股本的20%的配套資金，用於標的公司5G環形器擴產項目、旋磁鐵氧體材料擴產項目、鐵氧體材料研發中心建設項目及補充流動資金。
此次交易的審計及評估基準日為2019年12月31日。截至預案摘要簽署日，標的資產的審計、評估工作尚未完成。經交易雙方初步協商，華揚通信40.00%股權的交易價格初步確定為3.6億元，南京彼奧49.016%股權的交易價格初步確定為2.3億元。標的資產的最終交易價格將以評估報告中確定的標的資產評估值為基礎，由交易雙方協商確定，並將在重組報告書(草案)中予以披露。
此次發行股份購買資產系公司收購控股子公司華揚通信和南京彼奧的剩餘股權，有利於增強上市公司對子公司的控制力，增強上市公司的持續盈利能力和抗風險能力；有利於進一步提升公司通訊電子板塊的產業鏈協同創新、推廣能力，加速公司5G產品產業化能力的整體佈局和軍工技術產品在民用通訊領域的轉化。此次交易前後上市公司的主營業務範圍不會發生變化。
此次募集配套資金主要用於5G環形器擴產項目、旋磁鐵氧體材料擴產項目、鐵氧體材料研發中心建設項目及補充流動資金，上述募集資金投資項目的實施將擴大旋磁鐵氧體材料和5G環形器的產能，提升核心產品生產的自動化程度，擴大通信元器件領域的銷售規模，提高公司的市場競爭力及盈利能力，並推動公司關鍵技術升級及新技術產品研發，進一步優化業務佈局，推動公司高質量發展。
