温氏股份(300498.SZ)：嚴居然辭任總裁獲選舉為副董事長 聘樑志雄為總裁
格隆匯2月4日丨温氏股份(300498.SZ)公佈，公司董事會於近日收到公司總裁嚴居然的書面辭職報告。辭職報告自送達董事會之日起生效。嚴居然辭職後將繼續擔任公司董事及提名委員會委員職務。截至公告披露日, 嚴居然持有公司約1.4897億股股份，將繼續遵守相關股份鎖定及減持承諾。
嚴居然在擔任公司總裁期間，恪盡職守、勤勉盡責，對公司發展壯大做出了傑出貢獻。董事會對嚴居然先生擔任總裁期間對公司發展所做的突出貢獻表示衷心的感謝和崇高的敬意。
根據《公司章程》規定，公司於2020年2月4日召開了第三屆董事會第十五次會議，審議通過了《關於選舉公司第三屆董事會副董事長的議案》、《關於聘任公司總裁的議案》和《關於聘任公司副總裁的議案》，公司董事會選舉嚴居然為公司副董事長，並聘任樑志雄為公司總裁、聘任秦開田先生為公司副總裁，任期自董事會決議通過之日起至本屆董事會屆滿時止。
嚴居然，漢族，1962年出生，中國國籍，未有任何國家和地區的永久海外居留權；高中畢業。1983年進入温氏股份的前身工作，歷任公司副總裁、技術總監、常務副總裁、總裁、董事，廣東筠誠投資控股股份有限公司董事、廣東省新興縣北英慈善基金會副理事長。
樑志雄，男，漢族，1969年出生，中國國籍，未有任何國家和地區的永久海外居留權。大專學歷。1987年進入温氏股份前身工作，1987年至2013年曆任技術中心經理、區域公司總經理、公司副總裁；2013年至2017年4月任廣東筠誠控股股份有限公司董事、副總裁、董事會祕書。2017年6月起任温氏股份副總裁兼養禽事業部總裁，廣東筠誠控股股份有限公司董事、廣東省新興縣北英慈善基金會理事。截至目前，樑志雄持有公司股份8554.375萬股，與公司實際控制人、其他董事、監事、高級管理人員之間不存在關聯關係
秦開田，男，漢族，1967年出生，中國國籍，未有任何國家和地區的永久海外居留權。碩士研究生學歷。1995年進入温氏股份前身工作，1995年至2016年曆任公司區域公司經理、總經理，2016年3月起任養禽事業部副總裁。截至目前，秦開田持有公司股份1185.67萬股，與公司實際控制人、其他董事、監事、高級管理人員之間不存在關聯關係。
