華聯股份(000882.SZ)擬2.7億元轉讓瀋陽廣盛鑫源100%股權予遼寧萬瑞聯信
格隆匯2月3日丨華聯股份(000882.SZ)公佈，公司近日與遼寧萬瑞聯信科技有限公司(“遼寧萬瑞聯信”或“受讓方”)簽署了《股權轉讓協議》，將其持有的全資子公司瀋陽廣盛鑫源商業投資管理有限公司(“瀋陽廣盛鑫源”)100%的股權轉讓給遼寧萬瑞聯信，股權轉讓價格為2.7億元人民幣。
瀋陽廣盛鑫源主要資產為投資性房地產，該投資性房地產位於瀋陽市和平區，為建築面積50651.29平方米、主體三層，局部四層的商場，鋼筋混凝土結構。目前該商場處於閉店狀態。
近年來，公司致力於提升旗下購物中心運營管理能力和盈利水平，制定了堅決處置低效門店、聚焦優勢地區、優化資金結構的戰略，以緩解資金壓力，提高整體盈利能力。受瀋陽經濟環境以及購物中心行業競爭激化，瀋陽廣盛鑫源近年持續虧損。公司自上一年度開始啟動閉店計劃，並持續尋找投資人。公司對其物業權益進行轉讓，有利於迅速回籠資金，提高上市公司未來主營業務的持續盈利能力。此次交易符合公司經營戰略及經營計劃。
此次交易，公司與遼寧萬瑞聯信以瀋陽廣盛鑫源2019年度經審計淨資產加公司於此次轉讓交易前需追加實繳的註冊資本為基礎，協商確定股權轉讓價格。交易完成後，從資產結構上看：公司投資性房地產將減少約2.62億元，佔公司2018年末總資產的1.90%，在總資產不變的情況下，公司資產的流動性有明顯提高；從盈利水平上看：此次交易預計將會給公司帶來約1300萬的一次性投資收益，符合公司預期。
公司收到前兩筆股權轉讓款後，將與遼寧萬瑞聯信共管證照章等重要資料；在遼寧萬瑞聯信全額支付股權轉讓價款後，再解除共管，並啟動法定代表人、董事等人員變更。同時若遼寧萬瑞聯信未能按照協議約定時間足額支付第二筆股權轉讓價款及/或剩餘股權轉讓價款的，遼寧萬瑞聯信將向公司支付違約金；逾期超過15日的，公司有權解除協議，並且遼寧萬瑞聯信應向公司承擔5000萬元的違約金。違約金不足以彌補損失的，遼寧萬瑞聯信承擔繼續賠償的責任。基於上述安排，公司董事會認為，公司不存在股權轉讓款項難以收回的風險。
