中文在線(300364.SZ)擬決定終止經營子公司晨之科現有業務
格隆匯2月2日丨中文在線(300364.SZ)公佈，公司於2020年2月2日召開第三屆董事會第三十六次會議審議通過了《關於擬終止經營子公司上海晨之科信息技術有限公司現有業務的議案》，2018年以來，受行業政策的影響，上海晨之科信息技術有限公司(“晨之科”)處於虧損狀態，經營情況持續惡化。為進一步減少虧損，維護股東的合法權益，公司擬決定終止經營子公司晨之科現有業務，且無計劃開展子公司晨之科基於目前資產的新業務。
晨之科成立於2013年09月，系以經營二次元門户網站和二次元遊戲業務為基礎的二次元公司。公司於2018年3月完成了對晨之科的重大資產重組，持有晨之科100%股權。
2018年初，原國家新聞出版廣電總局暫停受理和審批所有網絡遊戲產品的網絡出版物號申請，晨之科原計劃於2018年上線運營的新遊戲均因未能及時取得網絡出版物號(即遊戲版號)而無法正式上線運營收費，直至2018年12月29日才開始受理和審批網絡遊戲產品的網絡出版物號申請，但每月審批發放的網絡出版物號較往年環比大幅下降。
由於晨之科新遊戲無法按時上線運營，無法產生新的利潤，老遊戲又臨近生命週期後期，盈利能力逐漸下降，故 2018年晨之科出現虧損；由於2019年行業政策逐漸縮緊並趨嚴，版號發放速度和數量下降，晨之科持續保持虧損狀態。
鑑於以上因素，考慮到遊戲行業逐漸趨嚴的監管政策和晨之科較大的人員流失率，晨之科遊戲業務未來盈利前景存在重大不確定性，繼續投入將會持續擴大虧損，為進一步減少虧損，維護股東的合法權益，公司擬決定終止經營子公司晨之科現有業務，且無計劃開展子公司晨之科基於目前資產的新業務。
由於晨之科擬終止經營現有業務，其資產需要重新估值，將形成大額資產減值損失。根據北京卓信大華資產評估有限公司初步評估結果，出於謹慎性原則，對晨之科的各項資產合計計提減值準備約1.96億元(其中：對預付賬款計提減值準備約1.22億元、對長期待攤費用計提減值準備3209.83萬元、對其他非流動資產計提減值準備4243.94萬元)。基於上述減值的影響，晨之科2019年未經審計的淨利潤-2.93億元，將納入公司合併報表範圍。
