三愛健康集團(01889.HK)：維持上市委員會決定 繼續停牌
格隆匯1月24日丨三愛健康集團(01889.HK)公佈，上市(覆核)委員會對上市委員會決定的覆核已於2020年1月7日進行。於2020年1月23日，公司接獲上市(覆核)委員會的傳真，表示彼等決定維持上市委員會的決定。
根據該份傳真，上市(覆核)委員會基於(其中包括)以下理由作出上市(覆核)委員會決定：
1.公司近期收購兩家新公司(即福建永春及福建至信)，以改善公司醫藥產品業務的營運。然而，該兩間新收購公司均處於初期階段，缺乏往績記錄。該等公司規模甚小，所產生的收益較低，溢利或虧損淨額極少。鑑於該等新收購公司過往的營運規模甚小，加上往績記錄有限的公司所涉及的風險，本公司尚未能證明該等新收購公司如何大幅改善營運水平及支持可行及可持續的業務。
2.上市(覆核)委員會已考慮本公司就其他業務(包括其藥品顧問業務、藥品貿易業務、草藥種植業務、醫學檢測業務、融資租賃業務及一般貿易業務)提交的資料。該等業務規模甚小。公司已終止或正在將部分該等業務清盤。上市(覆核)委員會認為該等業務對改善公司營運而言並不重要或相關。
3.於公司先前在2019年7月11日向上市委員會提交的文件中，公司預測於2019財政年度及2020財政年度將產生收益人民幣1.62億元及人民幣3.37億元。於日期為2019年12月2日就第二次覆核聆訊提交的最新文件中，本公司將其2019財政年度及2020財政年度的預測修訂為人民幣7200萬元及人民幣2.26億元。該等偏差令人質疑本公司預測的可信性。此外，預測收益及預測毛利率並未經歷史數據或其他市場證據充分證實。收益及溢利預測能否實現存有疑問。
4.公司就第二次覆核聆訊提交的文件中指出，於2019年6月30日，集團的總資產約為人民幣2.63億元。由於本公司截至2019年6月30日止六個月的財務業績未經審核，且並無提交任何支持證據，故上市(覆核)委員會無法核實有關資料的可靠性。
5.鑑於對本公司目前及未來業務模式的嚴重懷疑，上市(覆核)委員會關注到該等資產的運作可能無法令本公司以充足的營運水平開展業務，以證明公司股份持續上市屬合理。
鑑於上市(覆核)委員會決定，公司須重新遵守上市規則第13.24條，並於暫停買賣日期起計18個月期間內恢復買賣。倘公司未能於18個月期間屆滿前如此行事，聯交所將取消本公司的上市地位。
此外，公司股份繼續停牌。
