中移动(00941.HK)采纳股票期权激励计划 冀保留骨干员工
中移动(00941.HK)公布,已决议建议采纳股票期权激励计划,以进一步完善公司治理结构,有效吸引、激励和保留公司核心骨干员工。该计划须获得国资委批准;股东於公司将适时召开的股东大会上批准;及联交所批准根据该计划所授股票期权可发行的任何股份的上市及买卖。
激励对象原则上限於董事(独立非执行董事除外)、公司高级管理人员以及对公司经营业绩和持续发展有直接影响的管理、技术和业务骨干。
该计划可能会因应国资委及/或香港监管机构的要求而作出修改。计划有效期为十年内,向高级管理人员等,授予总数不超过批准当日股本10%的股份,单一对象获取的股份,不可以超过股本1%,两年内不可以行使。
