宜昌交運(002627.SZ)：2019年限制性股票激勵計劃獲湖北省國資委批覆
格隆匯1月22日丨宜昌交運(002627.SZ)公佈，2020年1月21日，公司收到實際控制人宜昌市人民政府國有資產監督管理委員會(“宜昌市國資委”)轉發的《省政府國資委關於湖北宜昌交運集團股份有限公司實施限制性股票激勵計劃的批覆》(鄂國資考分[2020]6號)，主要內容如下：
一、原則同意宜昌交運按有關規定實施其上報的限制性股票激勵計劃。
二、宜昌交運實施股權激勵，應當建立健全股權激勵業績考核及激勵對象績效考核評價體系，充分體現股東對公司經營發展的業績要求和考核導向。權益授予環節應根據公司發展戰略規劃設置業績考核目標，權益生效(解鎖)環節應結合公司經營趨勢、所處行業發展週期來設置業績考核目標，以體現業績考核目標的前瞻性和挑戰性。同時公司還要制定規範的股權激勵管理辦法，以業績考核指標完成情況為基礎對股權激勵計劃實施動態管理，若公司層面業績考核未達標，所有激勵對象對應批次原計劃解除限售的限制性股票由公司按授予價格進行回購處理；若激勵對象績效考核不合格的，當年可解鎖的限制性股票不得解鎖或遞延至下期解除限售。
三、宜昌交運實施股權激勵，確定的股票來源應採取向激勵對象發行股份、回購公司股份以及法律、行政法規允許的其他方式，不得僅由國有股股東等部分股東支付或無償量化國有股權。
四、宜昌交運實施股權激勵，該公司由組織任命的董事、高管人員，以及監事、獨立董事，不得納入激勵範圍。
五、宜昌交運本次股權激勵計劃所授予的限制性股票權益數量不得超過公司股本總額的3%，激勵對象單人所涉標的股票數量不得超過公司股本總額的1%；在股權激勵計劃有效期內，董事和高管人員個人股權激勵的權益授予價值，應控制在其授予時薪酬總水平(含權益授予價值)的40%以內，管理、技術和業務骨幹等其他激勵對象的權益授予價值，由公司董事會合理確定。
六、宜昌交運實施股權激勵，限制性股票的授予價格不得低於股票票面金額，且不得低於激勵計劃草案公告基準日前1個交易日公司股票交易均價和基準日前20個交易日公司股票交易均價中價格較高者的50%。
七、宜昌交運的股權激勵計劃有效期，自公司股東大會通過之日起至激勵對象獲授的限制性股票全部解除限售或回購註銷之日止，最長不超過72個月；限制性股票限售期不少得於24個月，解鎖期不少得於36個月。
八、宜昌交運的股權激勵計劃經股東大會表決通過後，由宜昌市國資委負責把關，確保企業規範操作，確保國有資產保值增值。
