華鵬飛(300350.SZ)：2019年計提商譽減值3.6億元 預虧3.99億元-4.04億元
格隆匯1月22日丨華鵬飛(300350.SZ)披露2019年度業績預告，公司預計2019年1-12月歸屬於上市公司股東的淨虧損3.99億元–4.04億元，上年同期虧損約6.02億元。2019年度，公司預計業績虧損，主要原因是：
(1)公司綜合物流業務因受宏觀經濟形勢影響，現有合作客户業務量同比下降，新增客户數量也較去年同期下降，公司為控制經營風險、加強應收賬款回收，主動放棄付款賬期過長或存在潛在支付風險的部分客户，導致綜合物流收入下降；
(2)公司全資子公司博韓偉業智能移動服務業務由於受宏觀經濟、行業競爭的影響，新項目開展不及預期，同時重點客户中國郵政集團公司和中國郵政速遞物流股份有限公司機構整合，寄遞業務改革遞進，產業升級，推進智能分揀設備，造成郵政系統PDA使用量下降，且與博韓偉業部分業務未按時結算，導致博韓偉業本年度營業收入下降、經營業績虧損，因此公司基於謹慎性原則判斷因收購博韓偉業形成的商譽存在減值跡象，預計本期對其計提商譽減值準備；
(3)公司通過博韓偉業持股51%的二級控股子公司宏圖創展本年度營業收入、淨利潤較上年同期下滑，主要原因為：
①國家對農村土地承包經營確權項目的開展已基本結束，宏圖創展已經簽訂的農村土地經營確權登記項目合同，大部分已在2018年完工，進入質檢階段或免費為客户維護期；
②2019年全國第三次土地調查項目(“三調項目”)應國家要求，工期短，任務急，技術要求高，對宏圖創展原有項目的開展造成一定影響，且三調項目的收入相比去年其他項目收入有所下降；
③宏圖創展2019年度立足更好的求穩發展、精細化管理，所以新籤合同金額相比去年有所下降。
鑑於宏圖創展業績同比大幅下降，且根據目前的行業發展及市場形勢，公司基於謹慎性原則判斷因收購宏圖創展形成的商譽存在減值跡象，預計本期對其計提商譽減值準備。
2、報告期內，預計非經常性損益對淨利潤的影響金額約730萬。
值得注意的是，公司結合實際經營情況、戰略規劃及行業市場變化等影響，根據《企業會計準則第8號-資產減值》及相關會計政策規定，公司將在2019年度報告中對收購博韓偉業(北京)科技有限公司(“博韓偉業”)及遼寧宏圖創展測繪勘察有限公司(“宏圖創展”)形成的商譽進行減值測試。經公司財務部門初步摸底及測算，預計上述兩公司計提的商譽減值準備金額約3.6億元。最終減值準備計提的金額將由公司聘請的具備證券期貨從業資格的評估機構及審計機構進行評估和審計後確定。敬請廣大投資者審慎決策，注意投資風險。
