銘普光磁(002902.SZ)擬6.5億元收購克萊微波95.59%股權 明起復牌
格隆匯1月21日丨銘普光磁(002902.SZ)公佈，公司擬向範令君、楊成仲、黃洪雲、孟令智、蒲朝斌、李勇平、何勇、鄒有水、魏凱、周靜、李林保合計11名自然人以發行股份及支付現金的方式，購買其持有的克萊微波95.59%股權。截至預案簽署日，公司已直接持有克萊微波4.41%股權，此次交易完成後，公司將合計持有克萊微波100%股權。
根據重組協議，此次交易金額暫定為6.5億元，最終的交易金額將在克萊微波經具有證券、期貨相關業務資格的會計師事務所、評估機構進行審計和評估後，由交易雙方協商確定。
同時，公司擬向不超過10名投資者非公開發行股份募集配套資金，募集配套資金總額預計不超過4.3億元。
2020年1月21日，公司與相關主體簽署了《利潤承諾補償協議書》，交易對方之範令君、楊成仲、黃洪雲、孟令智、蒲朝斌、李勇平、何勇、魏凱、周靜、李林保承諾，克萊微波在2020年至2022年期間各年度實現的合併報表中歸屬於母公司股東的扣除非經常性損益後的淨利潤數分別不低於人民幣4000萬元、5000萬元、6000萬元。
此次交易前，公司主要從事光磁通信元器件產品的研發、生產和銷售，形成以通信網絡技術為基礎、產品開發設計為先導、光磁通信元器件為核心、與通信網絡設備製造商同步開發為特色，構建了業內較為領先的光磁通信元器件及通信供電系統設備及通信電源的產業模式，與華為、中興通訊、烽火通信、諾基亞、愛立信、三星(Samsung)等知名企業建立了長期合作關係，為國內外主要通信設備廠商提供優質的產品及整體解決方案。
克萊微波深耕于軍工電子信息領域，專注於微波固態功率放大器、發射機、T/R組件、微波組件、接收機、天伺系統的研發及生產，主要產品廣泛應用於電子對抗、雷達、通信、測試測量等軍事領域，裝備在地面、機載、艦載、彈載等多種應用平台，長期為國內主要軍工集團旗下的軍工整機廠(所)提供優質的微波通信產品和服務。
通過此次交易，公司將實現向軍工電子信息產業領域的拓展，豐富上市公司業務結構，完善公司通信產業佈局，充分把握我國軍事工業快速發展、國防信息化建設大幅提速以及國家持續推動軍民融合發展的良機。
經向深圳證券交易所申請，公司股票將於2020年1月22日開市起復牌。
