山東章鼓(002598.SZ)擬600萬元與江蘇倍騰共設江蘇樹袋熊機器人
格隆匯1月21日丨山東章鼓(002598.SZ)公佈，公司與江蘇倍騰智能科技有限公司(“江蘇倍騰”)於近日簽署了《合作協議書》，並約定，山東章鼓以現金方式出資600萬元，江蘇倍騰以現金方式出資400萬元，共同設立合資公司，山東章鼓佔其股權比例60%，江蘇倍騰佔其股權比例40%。
江蘇樹袋熊機器人科技有限公司經營範圍：從事機器人及智能自動化設備的技術研發、生產、銷售、安裝，貨物或技術進出口(國家禁止或涉及行政審批的貨物和技術進出口除外)。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
此次合作目的：共同打造智能製造、智能物流終端設備的研發和製造平台。具體以移動機器人、多自由度機器人及其它自動化設備為核心，為客户提供自動物流、智能倉儲及其它非標自動化的成套解決方案。合作方向和內容：移動機器人(AGV)、履帶底盤、多自由度機器人和其它自動化相關設備的研發、生產、銷售。
近些年國家發佈了一系列的人工智能規劃，如《新一代人工智能發展規劃》《促進新一代人工智能產業三年行動規劃》《人工智能標準化白皮書》，國家對於智能化、無人化的需求日益提升。隨着智慧城市、智慧農業、智慧物流、智慧工廠等一系列項目的提出和實施，對於智能化提出了更高的要求，而這些項目的推進，機器人是重要的參與者，它們能實現數據化、標準化、流程化，同時隨着機器人自學習能力的不斷提升，會不斷加速智慧化的進程。公司近些年的發展對智能化也提出了新的要求，公司對智能化終端的需求提升和智能化製造升級的需要，為機器人提供了可靠的應用場景。
目前，公司的客户中有大量的無人化改造的需求，並且公司相關的外部資源中亦有機器人的需求，同時公司的機械加工能力和鈦酸鋰電池可以輔助機器人零部件的生產及機器人動力的提供，形成了很好的優勢互補。投資成立機器人公司，也可以實現公司智能化製造的提升，為公司增加新動力。
本次投資完成，公司持有合資公司的 60%股權，合資公司為公司的控股子公司，將導致公司的合併報表範圍發生變更。此次對外投資設立合資公司，符合公司向智能製造轉型的發展戰略，不會對公司的生產經營造成重大不利影響，不存在損害公司及中小股東利益的情形。
