宏達新材(002211.SZ)下修業績預告 2019年預虧6500-9700萬元
格隆匯1月21日丨宏達新材(002211.SZ)披露2019年度業績預告修正公告，公司於2019年10月25日在《2019年三季度報告》中披露，預計2019年度歸屬於上市公司股東淨利潤0萬元至350萬元。修正後，預計2019年1-12月歸屬於上市公司股東的淨虧損6500-9700萬元，上年同期盈利1113.24萬元。本次業績修正的主要原因如下：
1、公司內部資產重組向江蘇明珠硅橡膠材料有限公司增資經評估後部分資產增值導致繳納增值部分企業所得税
公司以2018年10月31日為基準日，將公司春源分公司經營的硅橡膠業務、資產、人員以股權增資方式，整體劃轉到江蘇明珠硅橡膠材料有限公司(“江蘇明珠”)。
此次內部資產重組，將江蘇明珠的認繳註冊資本從2.9億元增加至3億元。公司將擁有的淨資產總額約3.67億元出資至全資子公司江蘇明珠，增加江蘇明珠淨資產約3.67億元。經評估後江蘇明珠部分資產產生增值，故公司繳納增值額對應企業所得税917萬元，影響當期損益並導致業績預告需進行修正。
2、硅橡膠業務業績虧損加劇
主營硅橡膠業務受市場行情影響，整體銷售業務有較大回落，產品售價降幅較成本價格降幅更高，且受外部大環境和競爭環境的影響，公司產品的銷售價格及材料的採購價格，均出現了不同程度的下降，結合市場硅橡膠價格的下跌，導致明珠硅橡膠業務大幅下降；同時根據揚中當地政府文件要求，公司揚中工廠正在進行異地整體搬遷，其中硅橡膠生膠車間已於2018年9月1日停止生產。綜上原因導致2019年度江蘇明珠虧損加劇，影響當期損益導致業績預告需進行修正。
3、公司以公開拍賣方式轉讓江蘇明珠100%股權影響當期損益
為優化資產結構，進一步有效整合資源，公司將持有江蘇明珠100%股權(“江蘇明珠股權”)以約3.75億元的價格作為拍賣底價公開拍賣。歷經兩次流拍調價，2019年11月23日公司委託江蘇省實成拍賣有限公司於2019年11月30日舉辦江蘇明珠股權的第三次拍賣會，最終由自然人施紀洪先生以江蘇明珠股權資產評估價值的70%，即約2.62億元受讓江蘇明珠股權。
此次公開拍賣標的股權事宜，由於江蘇明珠經審計後的淨資產為約3.31億元，而標的股權最終成交價為約2.62億元，其間產生的差價近6885.94萬元，影響當期損益導致本次業績預告需進行修正。
4、公司信息安全業務尚處於起步階段公司於2019年初新設立全資子公司上海鴻翥信息科技有限公司，其新業務仍處於起步階段，各項費用支出較大，投入資源需要經歷拓展期後才會逐步實現業績，尚未在當期損益中充分體現上述業務的業績。
以上第1、3事項屬於非經常性損益對公司業績造成的影響。
