興森科技(002436.SZ)擬斥4.1億元參設廣州興科半導體 建設半導體封裝產業項目
格隆匯1月21日丨興森科技(002436.SZ)公佈，2020年1月20日，公司召開第五屆董事會第十四次會議，會議審議通過了《關於公司對外投資設立合資公司暨關聯交易的議案》。公司擬與科學城(廣州)投資集團有限公司(“科學城集團”)、國家集成電路產業投資基金股份有限公司(“產業投資基金”)、廣州興森眾城企業管理合夥企業(有限合夥)(“興森眾城”)簽署《股東協議》及《關於廣州興科半導體有限公司的投資協議》，共同投資設立合資公司“廣州興科半導體有限公司”(最終名稱以工商登記核准名稱為準)建設半導體封裝產業項目。合資公司的註冊資本為人民幣10億元，其中公司出資4.1億元，佔註冊資本的比例為41％。
廣州興科半導體有限公司(暫定名，以工商登記為準)經營範圍：集成電路封裝產品設計(涉及許可項目的，需取得許可後方可從事經營)；類載板、高密度互聯積層板設計(涉及許可項目的，需取得許可後方可從事經營)；集成電路封裝產品製造(涉及許可項目的，需取得許可後方可從事經營)；類載板、高密度互聯積層板製造(涉及許可項目的，需取得許可後方可從事經營)。
興森快捷和合資公司承諾，合資公司2021年、2022年和2023年(“業績承諾期”)的單一年度淨利潤(以經審計的扣除非經常性損益後的歸屬於母公司所有者的淨利潤為計算依據)應分別達到人民幣-7906萬元、-4257萬元和9680萬元(“業績目標”)。業績承諾期內，發生以下任一情況視為業績目標未完成：(1)合資公司2021年和2022年合計實現的淨利潤未達到合計的目標淨利潤要求(即合計虧損超過1.2163億元)；(2)合資公司2023年實現的淨利潤未達到當年的目標淨利潤要求。
IC封裝基板業務是公司未來的重點戰略方向，經過多年的積累，公司已經具備量產能力，在市場、工藝技術、品質、管理團隊等方面都積累了相當豐富的經驗。目前，在穩定老客户訂單的同時，新客户訂單快速增加，各類新產品也處於開發和導入量產過程之中，呈現良好的發展態勢，原有工廠面臨產能不足的客觀現實，急需進一步加大投入以提升產能規模和佈局先進製程能力，以滿足國際大客户的增量需求，併為下一階段國內需求的釋放提前佈局。
此次與相關投資方設立合資公司大規模投資IC封裝基板業務，將利用廣州開發區優惠政策，結合各方的資金、技術、資源及經營優勢，進一步聚焦公司核心的半導體業務，培育高端產品，使公司差異化、高端化競爭策略獲得重要進展，進一步提升公司競爭力和盈利能力，形成新的利潤增長點。
