金通靈(300091.SZ)與瑞士CELEROTON簽訂聯合開發和合作合同
格隆匯1月20日丨金通靈(300091.SZ)公佈，2019年12月11日，公司與瑞士CELEROTONAG公司(“CELEROTON”)簽訂了《聯合開發和合作合同》。
鑑於CELEROTON是一家在超高速電驅系統設計和生產領域內的世界領先公司。其基礎技術(磁懸浮軸承，氣懸浮軸承，無傳感控制)及其應用，如用於燃料電池的帶空氣軸承的渦輪壓縮機。CELEROTON公司自2008年成立以來，以其突破性的技術獲得了多個獎項，並與世界各地的跨國公司密切合作。根據CELEROTON公司開發的背景技術，CELEROTON公司有豐富的經驗為客户企業提供獨特的原型和產品，以滿足客户企業的要求。同時，金通靈是一家領先的風機和壓縮機制造商，擁有豐富的渦輪機械製造經驗，計劃在中國建立完整獨立自主的生產流水線，在銷售區域內銷售氫燃料電池壓縮機。基於各自優勢，雙方決定就聯合開發氫燃料電池壓縮機(含壓縮機、電機及變頻控制器)開展合作。
雙方約定，在聯合開發階段公司將分階段支付項目、專有技術轉讓總價(税後)788.51萬瑞士法郎(按公告日的人民幣與瑞士法郎匯率測算，1瑞士法郎=7.0929人民幣元，支付税後總額為人民幣5,592.82萬元)。項目執行過程中所產生的工藝、方法、圖紙、資料和發明專利等所有前景信息的所有權均歸金通靈所有，CELEROTON於項目開始前已經擁有的工藝、方法、圖紙、資料和發明專利等背景信息的所有權歸CELEROTON所有，CELEROTON授權金通靈使用其背景信息，在授權期間，金通靈按約定支付特許權使用費。
CELEROTON公司坐落於瑞士蘇黎世，是國際頂尖理工科學府蘇黎世聯邦理工學院的衍生公司，其公司創始人及現任CEO Martin Bartholet博士及其主要研發團隊均來自於蘇黎世聯邦理工學院，並與之保持密切合作關係。該公司自2008年成立以來，始終致力於高速電機驅動系統的研發與生產，在全球範圍內為客户提供定製化的產品和技術諮詢服務，在8個國家擁有合作伙伴，產品廣泛應用於燃料電池、空調、熱泵、鼓風機、呼吸器、氣動、牙科及醫療器械、微機械加工、光學系統、渦輪機等市場領域。
該合同概述了金通靈和CELEROTON在以下領域合作的基礎：CELEROTON將支持金通靈在中國生產產品。產品僅在銷售區域內銷售。雙方也打算在CELEROTON的其他產品的開發和製造方面進行合作，並在相同或者其他領域開展項目。CELEROTON有意將金通靈作為在華生產的首選合作伙伴。如果這些附加項目是雙方合作的目標，這些項目的條款和條件也應基於該合同。
