招商輪船(601872.SH)擬65.71億元受讓中外運航運有限公司相關資產
格隆匯1月20日丨招商輪船(601872.SH)公佈，公司下屬全資子公司CMES Bulker Holdings Inc.(下稱“CMES Bulker”)擬以人民幣16.02億元從Sinotrans Shipowning Limited(以下簡稱“SSOL公司”)受讓Double Strong International Limited(下稱“DS公司”)100%的股權，同時CMES Bulker向SSOL公司償還DS公司應付股東借款人民幣38.19億元；招商輪船下屬全資子公司CMES LNG Carrier Investment Inc.(下稱“CMES LNG”)以人民幣6.45億元從SSOL公司受讓Marine Peace Shipowning Limited(下稱“MP公司”)100%的股權，同時CMES LNG向SSOL公司償還MP公司應付股東借款人民幣4.42億元；CMES Bulker擬以人民幣5670.04萬元從中外運航運有限公司(以下簡稱“中外運航運”)受讓Sinotrans Ship Management Limited(下稱“SSML公司”)100%的股權；招商輪船擬以人民幣608.14萬元從中國經貿船務有限公司(下稱“經貿船務”)受讓中外運航運(北京)有限公司(下稱“中外運北京”)100%股權。本次交易價格合計暫定為人民幣65.71億元，最終交易價格以經國資主管部門備案確認的資產評估價格確定。
SSOL公司為持股平台公司，其下屬主要業務板塊包括幹散貨航運、集裝箱航運及投資LNG航運業務。
中外運航運以幹散貨和集裝箱運輸為兩大核心主業，是集船舶投資、運營及管理為一體的綜合性航運企業。其中幹散貨業務主要從事全球範圍主要貿易航線運輸，承運包括鐵礦石、煤炭、穀物、鋼材及其他商品等散雜貨物；集裝箱業務主要是集裝箱船的船東業務。同時開拓LNG運輸業務，實現公司業務多元化。
經貿船務是中國外運長航集團有限公司旗下的航運業務運營管理平台，主要通過投資控股專業化航運公司從事各類航運業務。
本次交易的資金來源擬使用公司自有資金或境外銀行借款。公司第五屆董事會第三十三次會議審議通過了《關於追加公司年度銀行授信額度的議案》，同意公司向境外銀行申請9億美元授信額度，用於收購中外運航運下屬資產項目。
本次交易是招商輪船整合航運資產、打造統一的航運業務平台、不斷提升公司市場競爭力和增強持續盈利能力的重要舉措。招商輪船與中外運航運在國際幹散貨運輸業務方面存在同業競爭，本次交易完成後，將徹底解決招商輪船與中外運航運的同業競爭問題。
本次交易完成後，招商輪船擁有和控制的幹散貨船船隊規模將顯著擴大，有利於提高市場份額，增強公司幹散貨業務板塊的經營能力、市場競爭力、影響力和服務客户的能力，提升公司整體抗風險能力。本次交易採用現金收購方式，交易完成後公司資產負債率短期內將有所上升，預計淨資產收益率及每股收益將有望增厚。
