星星科技(300256.SZ)擬放棄清能華波10%股權轉讓優先購買權
格隆匯1月20日丨星星科技(300256.SZ)公佈，2020年1月20日，公司召開第四屆董事會第五次會議，通過了《關於放棄參股公司股權轉讓優先購買權暨關聯交易的議案》，公司持股5%以上股東毛肖林擬退出對公司參股子公司清能華波的投資，其中：擬將持有的清能華波7%股權轉讓給王先玉或其關聯人，將持有的清能華波3%股權轉讓給其他第三方或退股的方式退出。
公司董事會基於當前實際情況及發展戰略的考慮，同意毛肖林退出對清能華波的投資並放棄相關股權轉讓的優先購買權，董事會同時提請股東大會授權董事長或董事長指定的授權代理人代表公司辦理相關手續、簽署相關法律文件。獨立董事對該議案發表了事前認可意見和同意的獨立意見。鑑於毛肖林持有的清能華波10%股權的投資金額為1000萬元人民幣，並已經公司2016年年度股東大會決議通過，基於謹慎性原則，此次公司放棄毛肖林退出清能華波股權的優先購買權仍需提交股東大會審議。
清能華波(北京)科技有限公司經營範圍：技術開發、技術推廣、技術轉讓、技術諮詢、技術服務；軟件開發；數據處理(數據處理中的銀行卡中心、PUE值在1.5以上的雲計算數據中心除外)；銷售電子產品、計算機、軟件及輔助設備。(企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動；不得從事本市產業政策禁止和限制類項目的經營活動。)
毛肖林持有的清能華波10%股權的投資金額為1000萬元人民幣，其擬以股權轉讓或退股的方式退出對清能華波的投資，公司放棄相關股權轉讓的優先購買權，主要考慮清能華波項目處在研發階段且項目週期長，基於當前實際情況及公司發展戰略的規劃，為緊抓5G發展的機遇，公司將集中資源進一步整合視窗防護屏、觸控顯示模組及精密結構件的產業優勢，當前並無必要對清能華波進行大比例投資持股。公司致力於成為“智能終端部件一站式解決方案提供商”，公司將持續關注清能華波研發項目的推進，豐富公司技術儲備，進一步延伸公司智能消費電子產業鏈，增強公司整體競爭力，提升公司“一站式”供應和服務能力。
此次毛肖林退出清能華波的股權轉讓交易若完成，公司持有清能華波的權益沒有實質性影響，清能華波仍為公司參股子公司。該事項不會對公司的財務狀況、經營成果產生重大影響，不存在損害公司及股東利益的情形。
