日科化學(300214.SZ)子公司擬7708萬元受讓海洋化工全部股權
格隆匯1月20日丨日科化學(300214.SZ)公佈，公司全資子公司山東日科橡塑科技有限公司(“日科橡塑”)於近日與濱州海洋化工有限公司(“海洋化工”、“標的公司”)及山東慧濱棉紡漂染有限公司(“慧濱棉紡”)、劉偉簽署了附生效條件的《股權轉讓協議》。公司因戰略發展需要，實現向產業鏈上游延伸發展，日科橡塑擬以現金方式使用人民幣7708萬元受讓慧濱棉紡、劉偉持有的海洋化工全部股權，此次交易完成後，日科橡塑持有標的公司100%股權。
濱州海洋化工有限公司主營業務：化工產品銷售(不含危險化學品，不含易製毒化學危險品，不含監控化學危險品)(依法須經批准的項目，經相關部門批准後方可開展經營活動)
燒鹼作為國民經濟的基礎化工原料，在輕工、紡織、化工、醫藥、冶金、稀土金屬、石油、電力及軍工等眾多行業得到廣泛應用，燒鹼的生產工藝會產生大量的劇毒氯氣，氯氣若在運輸過程中發生意外，可能會產生嚴重的危害，氯氣是日科橡塑生產ACM產品所需的主要採購原材料之一。根據《山東省人民政府印發關於加快七大高耗能行業高質量發展的實施方案的通知》(魯政字[2018]248號)中關於氯鹼行業轉型升級目標的相關內容：到2022年，液氯就地消化率由目前的59%提高到85%以上，液氯道路運輸安全風險明顯降低。隨着上述政策的落地實施，預計將會對液氯道路運輸產生較大影響，液氯能否穩定供給可能成為公司持續發展面臨的較大挑戰，液氯的穩定供給對公司未來持續發展意義重大。海洋化工此前建有20萬噸/年氯鹼產能，此次投資目的主要為盤活海洋化工氯鹼產能指標，擬以海洋化工為主體建設20萬噸/年氯鹼產能替代原有產能，項目建成後可就近運輸液氯，有效解決氯氣作為危化品的運輸安全問題，確保日科橡塑持續穩定、安全生產，實現上游產業鏈的延伸發展，滿足公司戰略發展需要。
日科橡塑於2020年1月20日與濱州市沾化區人民政府簽署了《山東日科橡塑科技有限公司在沾投資項目政策獎補協議書》，為支持日科橡塑項目發展，濱州市沾化區人民政府擬給予日科橡塑7,708萬元人民幣財政扶持資金。此次對外投資資金屬於公司正常的投資行為，對公司當期和未來不會產生重大不利的財務影響，不存在損害上市公司股東利益的情形。
