捷成股份(300182.SZ)子公司與亦莊國投簽署合作意向框架協議
格隆匯1月20日丨捷成股份(300182.SZ)公佈，為推動公司之全資子公司華視網聚繼續取得優質發展，進一步增強華視網聚在影視版權運營、媒體文化傳播方面的綜合實力，同時推動北京經濟技術開發區文化創意及其相關產業的升級發展，華視網聚(乙方)與投資者亦莊國投(甲方)達成合作意向，雙方基於互惠互利的原則擬共同在資金、資源及產業整合上開展相互合作。2020年1月19日，華視網聚與亦莊國投簽署《北京亦莊國際投資發展有限公司與捷成華視網聚(常州)文化傳媒有限公司合作意向框架協議》(“《合作意向框架協議》”)，協議約定華視網聚擬進行增資擴股，亦莊國投擬與華視網聚進行相關合作，支持華視網聚主營業務發展。
華視網聚主要從事新媒體版權運營及數字發行業務，是國內領先的影視版權發行商、全媒體內容文化傳播服務提供商。
此次合作宗旨及內容如下：雙方基於互惠互利的原則擬在資金、資源及產業整合上擬開展相互合作，共同推動目標公司繼續取得優質發展，進一步增強其在影視版權運營、媒體文化傳播方面的綜合實力，同時提升開發區文化創意產業綜合實力，推動文化創意及其相關產業的升級發展。基於上述合作宗旨，乙方擬進行增資擴股，甲方擬與乙方進行合作，支持乙方主營業務發展，就此次合作甲方或其關聯方、外聘中介機構擬對乙方及其關聯方開展盡職調查工作，在上述盡調工作結束後，基於較滿意的盡職調查結果，甲方或其關聯方在通過內部決策並取得上級主管單位(包括但不限於開發區管委會、開發區國有資產管理辦公室等)批准確定合作後，雙方或其關聯方擬在平等協商的基礎上，就此次合作的具體方式和內容、雙方或其關聯方的具體權利義務另行簽署正式合作協議(以實際簽署的協議名稱為準)確定。就上述盡職調查工作，乙方將給予甲方必須的配合。該框架協議簽署後，乙方將在開發區設立全資子公司(“入區主體”)，開展影視版權運營及全媒體內容文化傳播服務。入區主體應在開發區實際運營並在開發區依法繳税，期限應不低於3年，入區主體的業績承諾及納税貢獻指標以後續正式簽署的協議約定為準。
此次交易的履行將有利於推動華視網聚繼續取得優質發展，提高其運營能力，推動文化創意及其相關產業的升級發展，符合國家相關政策導向及公司發展目標，有利於優化公司資本結構，增強資本實力，提升持續健康發展的能力。
