建業地產(00832.HK)擬10億元收購河南建業富居投資10%股權
格隆匯1月17日丨建業地產(00832.HK)公告,於2020年1月17日,公司全資附屬上海豫進(作為買方)、廣州富力(作為賣方)及目標公司就收購事項訂立股權轉讓協議,公司已同意向廣州富力收購目標公司河南建業富居投資有限公司10%股權及銷售債權,總代價為人民幣10億元。
目標公司為於2014年10月16日在中國成立的有限責任公司,於本公告日期的註冊資本金為人民幣1億元,主要於河南省鄭州市從事房地產投資、開發及銷售。
目標集團目前主要為發展鄭州五龍口城中改造項目及花園口合村並城項目。五龍口項目整盤佔地775畝,其中開發區佔地498畝,安置區佔地277畝;花園口項目整盤佔地3,329畝,其中開發區佔地2,222畝,安置區佔地1,107畝。五龍口項目及花園口項目分期開發,部份分期項目正在開發銷售。
公司稱,鑑於河南省物業市場的潛在回報,眾多房地產開發商已進入市場。該集團主要關注開發住宅物業,而開發住宅及商業項目亦構成集團策略的一部分。截至2019年6月30日,集團土地儲備的70.6%及7.9%分別分配予住宅及商業開發項目。收購事項及後續發展將目標地塊開發為住宅及商業開發項目將提升該集團的投資組合及拓寬其對河南省商業物業市場的參與度。同時,由於目標地塊位於河南省鄭州市主要地段之一,收購事項可提高該集團於鄭州土地儲備的佔比,對該集團未來發展及戰略部署帶有積極意義。
