邦訊技術(300312.SZ)：控股股東及其一致行動人可能減持不超5%股份
格隆匯1月17日丨邦訊技術(300312.SZ)公佈，公司控股股東張慶文及其一致行動人戴芙蓉因股票質押及債務違約，所持有的公司股份目前均處於司法凍結狀態，未來期間可能被債權人強制處置。另外由於資金需要，在所持公司股份解除凍結、質押等限售條件的前提下，控股股東及其一致行動人可能在本次預披露的減持區間內（本公告披露（2020年1月17日）的 15 個交易日後的 6 個月內）以法律法規允許的方式減持所持有的公司股份。
截至2020年1月17日，張慶文持有公司股份1.08億股，佔公司總股本的33.7767%；戴芙蓉持有公司股份3507.68萬股，佔公司總股本的10.9601%；張慶文及其一致行動人戴芙蓉合計持有公司股份1.43億股，佔公司總股本的44.7368%。
截至2020年1月17日，張慶文及其一致行動人戴芙蓉質押公司股份1.26億股，佔其合計持股比例的87.9066%，佔公司總股本比例的39.3266%；張慶文及戴芙蓉被司法凍結股份合計1.43億股，佔其合計持股比例的100.00%，佔公司總股本比例的44.7368%；張慶文及戴芙蓉涉及違約處置的股份1.43億股，佔其合計持股比例的100.00%，佔總股本比例的44.7368%。
因股票質押及債務違約，張慶文及戴芙蓉所持公司股份目前均處於司法凍結狀態，未來期間可能被債權人強制處置，被處置股份數量不超過1.43億股，佔公司總股本的44.7368%；在所持公司股份解除凍結、質押等限售條件的前提下，控股股東及其一致行動人可能在本次預披露的減持區間內以法律法規允許的方式減持不超過公司總股本5%的股份。其中，通過集中競價交易方式進行減持的，在任意連續九十個自然日內，減持股份的總數不超過公司股份總數的1%；通過大宗交易方式進行減持的，在任意連續九十個自然日內，減持股份的總數不超過公司股份總數的2%。
張慶文及其一致行動人戴芙蓉承諾在任職期間每年轉讓公司股份數量不超過上年最後一個交易日所持公司股份數量的25%。截至目前，除戴芙蓉所持公司股份2019年因司法變賣、拍賣被強制處置合計1859.3萬股(佔其上年最後一個交易日所持公司股份數量的34.6433%)外，張慶文及戴芙蓉均履行了承諾。
以上股份減持行為可能會導致公司控制權發生變更。
