*ST鹽湖(000792.SZ)：管理人與匯信資管簽署資產收購協議 30億元受讓公司資產包
格隆匯1月17日丨*ST鹽湖(000792.SZ)公佈，2020年1月14日，公司管理人將擬由雙方簽署的《資產收購協議》提交匯信資產管理公司，後者完成內部審查流程後於2020年1月17日簽署。《資產收購協議》的主要內容如下：
1、乙方(即匯信資產管理公司)同意以第六次起拍價為參考，以30億元的價格協議受讓鹽湖股份的資產包，甲方(即公司管理人)同意按照此價格向乙方轉讓鹽湖股份資產包。30億元收購價格不包含標的資產過户所涉過程中乙方依法應繳納的一切税、費。過户時所產生的一切税、費（包括但不限於增值税及附加、土地增值税、契税、印花税、交易手續費、權證工本費、企業所得税、房產税和其它相關税收和費用，以及相關税收和費用的滯納金、利息等，以相關部門最終核定為準）等依照國家相關規定由乙方與鹽湖股份各自承擔其應繳納部分。
2、乙方確認：知悉、接受並認同甲方在淘寶網司法拍賣平台上發佈的鹽湖股份資產包《拍賣公告》及《拍賣須知》之全部內容。
3、乙方應不晚於2020年3月31日向甲方支付扣除保證金後的剩餘轉讓價款27億元至甲方指定收款賬户。
4、根據《青海鹽湖工業股份有限公司重整計劃(草案)》之“二、出資人權益調整方案”之“(三)出資人權益調整的內容”之“2.轉增股票的用途”的規定，乙方將受讓約7,075.18萬股轉增股票，受讓股票的單價為甲方簽署本協議之日前二十個交易日的均價（前二十個交易日股票交易總額/前二十個交易日股票交易總量），即8.41元/股。乙方應當在前述《重整計劃》獲得裁定批准後的七十日內將受讓股票的對價共計約59502.26萬元全部支付至甲方的收款賬户內。本次受讓的全部轉增股票自登記至乙方指定的證券賬户之日起鎖定十二個月。
5、鑑於鹽湖股份資產包所涉資產的經營專業性強、對應資產規模大且鹽湖鎂業、海納化工均已進入司法重整程序，為協助乙方更好行使權利，保障乙方合法權益，甲方將在西寧中院指導下，協助乙方形成過渡期的總體方案，包括但不限於人員、採購、銷售、生產、合同清理、財務移交、後續經營發展等事務，以確保乙方可以順利實現對鹽湖股份資產包的管理，依法保障依法合法權益。
6、本協議生效後，乙方即成為鹽湖鎂業、海納化工的控股股東及最大的債權人。為支持鹽湖鎂業、海納化工通過司法重整程序脱困，實現乙方利益最大化，乙方將依法積極支持鹽湖鎂業和海納化工司法重整。
7、本協議自雙方蓋章之日起生效。
此次《資產收購協議》的簽署是執行《財產管理及變價方案》的需要，通過剝離低效虧損資產，可以優化公司的資產結構，實現資產優化配置，加速資金周轉，激發企業活力，提高競爭力，促使公司重回可持續健康發展的軌道。
此次資產收購價格相較於鹽湖股份賬面值和評估值較低，由此將導致公司產生較大的資產處置損失，增加公司2019年虧損，對公司2019年年度業績造成大額虧損。具體損失目前暫無法確定，公司將嚴格依據企業會計準則的規定確認損益，最終以會計師事務所審計結果為準。
