大西洋(600558.SH)：控股股東終止無償劃轉公司部分股份
格隆匯1月17日丨大西洋(600558.SH)公佈，2020年1月17日，公司收到公司控股股東大西洋集團和四川發展國瑞礦業投資有限公司(以下簡稱“國瑞礦業”)轉來的《關於四川大西洋焊接材料股份有限公司之國有股份無償劃轉協議之終止協議》，大西洋集團與國瑞礦業於當日簽署了《終止協議》，雙方一致同意，雙方在2017年4月14日簽署的《關於四川大西洋焊接材料股份有限公司之國有股份無償劃轉協議》及其附件《四川大西洋焊接材料股份有限公司股份表決權委託書》，自《終止協議》生效之日起終止，雙方均不再實施本次劃轉工作，亦不再實施《表決權委託書》項下的表決權委託。
2017年4月14日，大西洋集團與國瑞礦業簽署了《無償劃轉協議》，大西洋集團擬將其持有的公司2.71億股股份無償劃轉至國瑞礦業。同日，雙方簽署了《表決權委託書》，並將《表決權委託書》作為《無償劃轉協議》的附件，大西洋集團擬在《無償劃轉協議》生效後，將其持有的標的股份之外的2692.81萬股公司股份的表決權全權委託給國瑞礦業。
截至目前，本次劃轉的標的股份過户登記手續未完成。根據《終止協議》，鑑於大西洋集團母公司自貢市國有資本投資運營集團有限公司(以下簡稱“自貢市國投集團公司”)公開發行了中期票據等融資工具，自貢市國投集團公司未召開債券持有人會議審議本次劃轉事項，加之本次劃轉已歷時兩年多時間，外部經濟形勢和政策環境已經發生較大變化，自貢市委、市政府按照中央和省委要求，已明確加快發展新材料產業，並陸續制定出台了支持相關產業發展的政策措施，公司作為大西洋集團主營焊接材料的核心子公司，對自貢市新材料產業的轉型升級發展和大西洋集團的做強做優做大，都將發揮重要作用。為消除本次劃轉的不確定性，有力支撐自貢市新材料產業發展，推進大西洋集團做強做優做大，推動公司的穩定與發展，根據《無償劃轉協議》第十條經書面協商一致，雙方可以解除《無償劃轉協議》的約定，經大西洋集團提出並由雙方友好協商，決定終止本次股份無償劃轉事項。
