博威合金(601137.SH)擬收購384909 Ontario公司100%股權 以滿足JIT交付要求
格隆匯1月17日丨博威合金(601137.SH)公佈，公司擬通過在加拿大設立的全資控股孫公司Powerway Alloy International Investment Inc.,(以下簡稱“Powerway Investment”)以390萬加元的價格(按照2020年1月17日加拿大元對人民幣匯率1：5.2813折算，金額為人民幣2059.707萬元)收購384909 Ontario Limited(以下簡稱“384909 Ontario”)100%股權。
384909 Ontario唯一控股的實體公司為Cooper Plating Inc.(以下簡稱“Cooper公司”)，384909 Ontario與Cooper公司合稱為“標的公司”。
Powerway Investment已與股權轉讓方Orval Cooper、Brenda Cooper簽訂了關於收購384909 Ontario 100%股權的《股份收購協議》。並於近日辦理完成了上述股權的轉讓手續。
Cooper公司是北美五大湖區知名的鍍層廠，該公司擁有滾鍍、掛鍍、精鍍及連續鍍等多種鍍層技術，具備4500噸/年鍍層產品的產能，其產品和服務通過ISO/IATF16949和AS9100的認證，主要服務於汽車、航空航天等行業。
有色金屬合金材料在被加工成各類電子產品的過程中，通常要經過表面鍍層處理才能實現其功能，因此表面鍍層處理是各類電子產品加工處理的核心環節。而公司的合金材料以往大部分供應給客户時尚未進行表面鍍層處理，客户在使用之前或加工之後均需要進行鍍層處理。
以北美五大湖區為代表的區域集聚了眾多的汽車、航空航天、電子等行業的合金材料用户，對鍍層材料有需求。眾多北美客户在中國工廠已經對公司產品認證並批量採購，客户北美工廠若從國內採購，無法滿足JIT交付要求。在完成本次收購後公司還將投入分切及配套設施後將該基地建設成服務北美地區的精加工及服務中心，在滿足市場需求的同時可實現及時供貨。
