ST慧球(600556.SH)購買天下秀100%股份 主營業務發生重大變更
格隆匯1月16日丨ST慧球(600556.SH)公佈，公司向重大資產重組交易對方發行股份購買其持有的天下秀100%股份，公司已收到Show World Hong Kong Limited等15名交易對方以北京天下秀科技股份有限公司(以下簡稱“天下秀”)淨資產繳納的新增註冊資本合計人民幣13.32億元，天下秀持有的上市公司股份4604.0052萬股予以註銷，本次吸收合併新增註冊資本為人民幣12.86億元，公司的註冊資本從3.95億元變更為16.80億元。
鑑於公司實施重大資產重組，公司主營業務發生重大變更，為適應公司發展需要，公司擬將公司經營範圍進行變更。
為適應公司發展需要，公司擬將公司經營範圍變更為：許可項目：食品經營；食品經營(僅銷售預包裝食品)；(依法需經批准的項目，經相關部門批准後方可展開經營活動)；一般項目：廣告發布(非廣播電台、電視台、報刊出版單位)；廣告設計、製作、代理；市場調查；社會經濟諮詢服務；軟件開發；信息系統集成服務；圖文設計製作；通信設備零售；計算機及通訊設備租賃；技術服務、技術開發、技術諮詢、技術交流、技術轉讓、技術推廣；市場營銷策劃；信息技術諮詢服務；計算機軟硬件及輔助設備批發；計算機軟硬件及輔助設備零售；互聯網數據服務；信息系統運行維護服務；專業設計服務；辦公服務；教育諮詢服務；信息諮詢服務(不含許可類信息諮詢服務)；企業形象策劃；互聯網安全服務；版權代理；科技中介服務；禮儀服務；會議及展覽服務；文藝創作；項目策劃與公關服務；個人商務服務；組織文化藝術交流活動；文具用品零售；體育用品製造；文具用品批發；工藝美術品及收藏品批發；文化娛樂經紀人服務；娛樂性展覽；非居住房地產租賃；科普宣傳服務；銷售代理；數字文化創意技術裝備銷售；工藝品及收藏品零售；住房租賃；物業管理；房地產經紀(除許可業務外，可自主依法經營法律法規非禁止或限制的項目)。以上經營範圍，以工商登記機關最終核准為準。
