大湖股份(600257.SH)擬5000萬元收購東方華康8%股權
格隆匯1月16日丨大湖股份(600257.SH)公佈，公司擬支付現金5000萬元收購東方華康醫療管理有限公司(以下簡稱“標的公司”或“東方華康”)部分股東合計持有的標的公司8%股權，其中受讓咖輔健康科技(上海)有限公司(以下簡稱“咖輔健康”)持有其在標的公司的出資額384.00萬元，受讓價格為2160.02萬元；受讓上海聯創君浙創業投資中心(有限合夥)(以下簡稱“聯創君浙”)持有其在標的公司的出資額259.55萬元，受讓價格為1459.98萬元；受讓上海聯創永沂二期股權投資基金合夥企業(有限合夥)(以下簡稱“聯創永沂”)持有其在標的公司的出資額220.44萬元，受讓價格為1239.99萬元；受讓蔣保龍持有其在標的公司的出資額24.89萬元，受讓價格為140.01萬元。
標的公司是立足於大健康產業發展前提下成立的大型康復護理醫療管理公司，以醫療產業投資、醫院管理為主業，擁有一支資深的醫院管理、企業策劃等組成的醫院經營管理專家隊伍。目前標的公司在上海、無錫、常州均有護理、康復醫療機構。標的公司子公司上海金城護理院有限公司、常州陽光康復醫院有限公司、無錫市國濟康復醫院有限公司、無錫市國濟護理院有限公司均已取得當地衞計委頒發的醫療機構執業許可證，均核定為營利性醫療機構，均已納入當地醫保定點。
康復護理醫療是醫療服務的重要組成部分，隨着我國經濟水平的提高和老齡化進程日益加速，由老齡化問題帶來的老年康復醫療問題日益加劇，康復醫療的需求量勢必繼續擴大。龐大的康復需求，必須有相應的康復資源來滿足。近年來，國家對康復醫療的重視程度越來越高，通過不斷出台相關政策來支持康復行業的發展，使得康復醫療行業在政策與需求的雙重驅動下快速發展。本次交易是為了進一步落實公司向醫療健康產業創新升級發展，通過本次交易，公司開始進入向康復、護理行業，有利於穩步推進公司向大健康領域發展，培育公司新的業務及利潤增長點。
