華誼嘉信(300071.SZ)：台州金投擬提供不少於5億元對公司進行紓困
格隆匯1月16日丨華誼嘉信(300071.SZ)公佈，基於公司由於目前存在一定的經營及債務償還困難，台州市金融投資集團有限公司(“台州金投”)擬對公司進行紓困。雙方本着自願、平等、互利的原則，經充分協商，擬結成戰略合作伙伴關係並簽訂協議。台州金投能夠對杭州福石資產管理有限公司實施重大影響。
公司目前存在一定的經營及債務償還困難，台州金投擬對公司進行紓困，且公司擬在正式協議簽訂後按照協議約定將註冊地址遷至台州金投所在地(即浙江省台州市)。紓困計劃如下：
(1)台州金投或關聯方(台州金投)計劃為公司提供不少於5億元的資金對公司進行紓困，支持形式包括保理及紓困基金。紓困資金用以幫助公司償還部分銀行貸款及其他債務，或用於幫助公司解決業務經營中流動性不足的問題。此筆紓困資金中的台州金投自有資金約三億元以保理借款的形式提供給公司，授信期限不超過三年。
(2)甲乙雙方在協議簽署後儘快就協議項下的的紓困計劃及相關安排上報雙方決策機構審批，在獲得同意批覆後，另行簽署正式協議並履行所需信息披露等法定義務。台州金投應當促使正式協議草案通過其內部決策機構及上級部門(如需要)的審批。
(3)在雙方簽署協議後，公司應進一步明確遷址工作的具體方案和計劃。在正式協議簽署後公司應儘快啟動遷址工作，公司應及時履行將遷址計劃提報董事會、股東大會審議的法定程序，在獲得審議通過後，將註冊地址遷至浙江台州。
(4)台州金投應當在公司遷址完成後一個月內提供不少於五億元紓困資金中的三億元的保理。採用設立紓困基金方式的約二億元款項台州金投應當在公司遷址完成後三個月內支付到位，如因實際募集時間較長，可以延長最多不超過三個月。
(5)台州金投將協助公司快速處理各項資產，減少債務負擔。在公司將註冊地址遷至浙江台州後，台州金投還將進一步利用其自身在當地的平台和資源優勢，幫助公司進一步開拓業務，提升公司盈利能力，幫助公司走出困境，再創經營佳績。
(6)為保證公司控制權的穩定，台州金投將在正式協議簽署後，根據實際情況與公司實際控制人協商通過轉質押、提供擔保等方式，解決公司實際控制人的債務問題。同時若公司實際控制人的股權被債權人處置，台州金投及其一致行動人將採取包括但不限於協商收購、司法拍賣競買、協議轉讓、大宗交易等符合法律法規要求的方式受讓公司合計不超過10%的股份，為免疑義，該等10%的股份應包括協議條款項下的台州金投關聯方通過司法拍賣受讓交易獲得的公司股份。
此次戰略合作有助於公司快速處理各項資產，減少債務負擔。台州金投自身在當地的平台和資源優勢有助於公司進一步開拓業務，提升公司盈利能力，幫助公司走出困境，再創經營佳績。
