安納達(002136.SZ)：華盛化工擬無償劃轉銅化集團37.26%股權至銅陵發展投資集團
格隆匯1月16日丨安納達(002136.SZ)公佈，2020年1月16日，公司收到公司控股股東銅陵化學工業集團有限公司(“銅化集團”)《關於股權結構變動的告知函》，銅化集團股權結構發生變動。
近日，經銅陵市國資委批覆同意，銅陵市華盛化工投資有限公司將其持有的銅化集團37.26%股權無償劃轉至銅陵發展投資集團有限公司。銅陵市華盛化工投資有限公司和銅陵發展投資集團有限公司均為銅陵市國資委全資子公司。
銅化集團現持有公司6450.58萬股股份，佔公司總股本的29.9999%。銅化集團此次股權結構變動前，銅陵市華盛化工投資有限公司未直接持有公司股份，通過銅化集團間接持有公司11.18%(37.26%*29.9999%)權益；銅陵發展投資集團有限公司未直接持有公司股份，銅陵發展投資集團有限公司子公司銅陵天源股權投資集團有限公司(銅陵發展投資集團有限公司持有其97.19%股權)直接持有公司991.62萬股股份，佔公司總股本的4.61%。
銅化集團此次股權結構變動後，銅陵市華盛化工投資有限公司未直接或間接持有公司股份或權益；銅陵發展投資集團有限公司未直接持有公司股份，通過銅化集團間接持有公司11.18%權益，銅陵發展投資集團有限公司子公司銅陵天源股權投資集團有限公司(銅陵發展投資集團有限公司持有其97.19%股權)直接持有公司991.62萬股股份，佔公司總股本的4.61%。
銅化集團此次股權結構變動後，公司控股股東和公司實際控制權未發生變化，公司控股股東仍為銅化集團，根據安徽創谷新材料有限公司和安徽鶴柏年投資有限公司於2019年8月15日簽訂的《一致行動協議》的相關約定，銅化集團控股股東仍為安徽創谷新材料有限公司，鑑於安徽創谷新材料有限公司無實際控制人，公司仍無實際控制人。此次控股股東股權結構變動不會對公司正常生產經營活動產生實質影響。
