木林森(002745.SZ)使用募集資金及自有資金對明芯光電等公司增資
格隆匯1月15日丨木林森(002745.SZ)公佈，公司於2020年1月15日召開的第四屆董事會第七次會議和第四屆監事會第六次會議，分別審議通過了《關於使用募集資金及自有資金向全資子公司增資的議案》，同意公司此次使用部分募集資金及自有資金對全資子公司中山市木林森電子有限公司(“木林森電子”)、中山市木林森光電有限公司(“木林森光電”)及和諧明芯(義烏)光電科技有限公司(“明芯光電”)的增資。
2020年1月15日，公司召開第四屆董事會第七次會議，審議通過了《關於使用募集資金及自有資金向全資子公司增資的議案》。為推進公司募集資金投資項目“小欖高性能LED封裝產品生產項目”、“小欖LED電源生產項目”和“義烏LED照明應用產品自動化生產項目”的順利實施，公司擬使用募集資金及自有資金以增資方式向全資子公司木林森電子、木林森光電及明芯光電分別增資，用於募集資金投資項目的實施和建設。本次增資的增資金額、出資方式和資金來源情況如下：
1、木林森電子
木林森電子註冊資本為18億元人民幣。公司擬出資6.8億元人民幣增加其註冊資本，其中包含募集資金66837.61萬元，自有資金1162.39萬元。增資完成後，木林森電子註冊資本將由18億元增加至24.8億元，出資方式為貨幣資金，增資後木林森電子仍為公司全資子公司。木林森電子在獲得上述增資後，將用於募集資金投資項目“小欖高性能LED封裝產品生產項目”的實施，並對募集資金進行專户存儲。
2、木林森光電
木林森光電註冊資本為3.3億元人民幣。公司擬出資2.688億元人民幣增加其註冊資本，其中包含募集資金26771.79萬元，自有資金108.21萬元。增資完成後，木林森光電註冊資本將由3.3億元增加至5.988億元，出資方式為貨幣資金，增資後木林森光電仍為公司全資子公司。木林森光電在獲得上述增資後，將用於募集資金投資項目“小欖LED電源生產項目”的實施，並對募集資金進行專户存儲。
3、明芯光電
明芯光電註冊資本約49.23億元人民幣。公司擬出資約9.03億元人民幣增加其註冊資本，其中包含募集資金約9.02億元，自有資金133.9萬元。增資完成後，明芯光電註冊資本將由49.23億元增加至58.26億元，出資方式為貨幣資金。增資後明芯光電仍為公司全資子公司，明芯光電在獲得上述增資後，將用於募集資金投資項目“義烏LED照明應用產品自動化生產項目”的實施，並對募集資金進行專户存儲。
