新文化(300336.SZ)與美腕(上海)簽訂戰略合作框架協議
格隆匯1月15日丨新文化(300336.SZ)公佈，公司(“乙方”)近日與美腕(上海)網絡科技有限公司(“甲方”)簽署了《框架協議》。為推進良好的業務合作關係，實現資源共享和優勢互補，推動雙方業務共同發展，甲乙雙方一致同意結成戰略合作伙伴關係。甲乙雙方本着自願、平等、互利的原則，經充分協商，簽訂該協議。此次合作內容：
(1)甲乙雙方積極配合,在全國範圍內根據甲方旗下藝人李佳琦和乙方優勢資源為甲方藝人提供客户及整合營銷方案,提升甲方藝人線下曝光度及預算收入。
(2)甲乙雙方同意在遵守法律、合乎規定且不違反雙方與客户簽訂的相關協議前提下,利用各自的優勢資源,幫助對方拓展在各自領域中的影響力,推動雙方業務發展。
(3)合作期間,甲方可以接入乙方的户外大屏(户外LED、機場大屏、車屏等)資源等優勢,擴大藝人李佳琦自身及活動精準營銷業務的媒體源範圍及線下曝光度;乙方則通過與甲方藝人李佳琦的戰略合作,增強其與客户的連接度和在線上媒體渠道的推廣宣傳曝光,形成“移動互聯網媒體+傳統媒體″全媒體整合營銷方案。
如此合作順利實施和推進，將有助於公司業務發展，預計將對公司未來的經營業績產生積極影響。該協議的簽訂和履行不影響公司業務獨立性，不會因履行協議而對協議一方產生依賴性，不會對公司與其他合作方的合作構成排他性。
在互聯網流量重新分佈的新格局下，線上渠道倚重短視頻平台和流量藝人，線上線下出現了新一輪整合，包括廣告及商品的銷售，內容的宣發，越來越多倚重短視頻流量的變現。該協議的簽署有助於公司整合雙方流量藝人的資源，在藝人短視頻廣告業務合作方面有了新的拓展和創新。通過此次合作，公司藝人經紀團隊和廣告團隊開發的基於明星的定製類廣告產品將更為豐富，給予品牌客户的變現能力更強；除公司已有的短視頻“抖星”產品外，在移動互聯網端又增加了直播帶貨的廣告產品形態，將拓展公司新的廣告產品形態及客户的垂直品類，將有效提升品牌的銷量，為公司大文娛宣發和藝人經紀業務帶來多維度的發展。此次戰略合作關係將實現線下線上渠道的合作共贏，對公司未來戰略目標的實現有積極的促進作用。
