東華科技(002140.SZ)擬參與埃及阿布塔磷酸廠項目建設
格隆匯1月14日丨東華科技(002140.SZ)公佈，2020年1月13日，中國建築股份有限公司(“中國建築”)、甕福(集團)有限責任公司(“甕福集團”)聯營體與埃及磷酸鹽工業及化肥公司(El Wady for Phosphate Industries &Fertilizers“WAPHCO”)簽署的《埃及阿布塔磷酸廠項目總承包合同》完成蓋章用印。
總承包項目合同以美元、歐元及埃及鎊三個幣種計價，合同總金額摺合約8.48億美元，合同標的系中國建築、甕福集團對外聯營體作為總承包商，負責合同項目硫酸、磷酸、公用工程等裝置的詳細工程設計、設備材料採購、建築安裝施工、投料試車、性能考核、直至項目質保期的全部工作，建設工期為30個月，生產、調試及性能考核期為6個月。
鑑於埃及業主WAPHCO就埃及阿布塔磷酸廠項目的設計、採購、施工、測試、試運行、質保等工作選擇承包商，公司與中國建築、甕福集團三方自願通過內部聯營體的形式實現優勢互補，共同投標及執行中標後的項目實施工作，2019年8月28日，三方簽訂《埃及阿布塔磷酸廠項目內部聯營體協議》(“聯營體協議”)。《聯營體協議》約定，以中國建築、甕福集團的名義組成外部聯營體承包商，公司作為分包商。在內部聯營體中，公司佔業主合同金額的20%。項目中標後，三方將成立管理委員會，協調和管理三方履行其在協議下的義務。
上述總承包合同項目系建設一個50萬噸/年磷酸生產裝置，包括配套160萬噸/年硫酸裝置及相應的公用工程、餘熱回收裝置等；建設地位於埃及西南部新河谷省阿布塔地區。工作範圍：項目項下各裝置的詳細工程設計、設備材料採購、建築安裝施工、投料試車、性能考核直至項目質保期的全部工作。工期：建設工期為30個月，生產、調試及性能考核期為6個月。
該項目合同總金額摺合約8.48億美元(含聯合體)，公司佔業主合同金額的比例為20%，合同金額約為1.696億美元，按總承包合同簽署日的美元兑人民幣匯率計算，摺合人民幣約11.89億，總履約期為36個月，年均合同額佔公司2018年度經審計營業收入的9.82%；該項目的順利履行，對公司2020-2022等年度的財務狀況將產生影響。
