銘普光磁(002902.SZ)擬向克萊微波增資3000萬元
格隆匯1月13日丨銘普光磁(002902.SZ)公佈，根據公司第三屆董事會第十九次會議審議通過的《關於對外投資的議案》，公司擬計劃使用自有資金3000萬元向克萊微波增資。此次增資完成後，銘普光磁將持有克萊微波4.41%的註冊資本。
克萊微波創建於2002年，始終堅持以軍事應用和用户需求為牽引，專注於微波固態功率發射機、T/R組件、微波組件、接收機、天伺系統的研發及生產。主要產品廣泛應用於雷達、通信、測試測量、EMC、電子對抗等軍事領域，裝備在地面、機載、艦載、彈載等多種應用平台，長期為國內主要軍工集團旗下的10餘家軍工整機廠(所)提供微波產品和服務。
此次增資的實施，為銘普光磁與克萊微波股東、克萊微波合作的第一步，克萊微波若尋求上市公司併購重組，則銘普光磁享有優先收購權與排他權。另外，根據《增資協議》安排，此次增資估值不排除隨着對克萊微波盡職調查的完成以及評估報告的最終確定，根據雙方最終的合作方案而對此次交易估值進行修正的可能，估值修正將結合包括但不限於銘普光磁後續對克萊微波的增資、受讓克萊微波股東持有克萊微波剩餘股權或發行股份購買克萊微波股東持有克萊微波股權的估值，進行整體考慮從而對此次增資克萊微波的估值進行調整，大大提升了併購風險控制能力。
克萊微波在獲得此次增資款項後，將用於補充流動資金，提升產品交付能力，把握軍工產業高速發展的機遇，帶動運營收入增長，大幅提升公司盈利水平。
銘普光磁主要從事光磁通信元器件產品的研發、生產和銷售，形成以通信網絡技術為基礎、產品開發設計為先導、光磁通信元器件為核心、與通信網絡設備製造商同步開發為特色，構建了業內較為領先的光磁通信元器件及通信供電系統設備及通信電源的產業模式，與華為、中興通訊、烽火通信、三星(Samsung)等知名企業建立了合作關係。
上市公司與標的公司均屬於通信設備製造行業，業務具有協同效應，通過此次對外投資，銘普光磁將實現向軍工電子信息產業領域的拓展，豐富上市公司業務結構，完善公司通信產業佈局，充分把握我國軍事工業快速發展、國防信息化建設大幅提速以及國家持續推動軍民融合發展的良機。
