中教控股(00839.HK)：擬收購鄭州城軌交通中專餘下20%權益 獲其100%控制權
格隆匯1月12日丨中教控股(00839.HK)公佈，2020年1月10日，公司並表附屬實體華方教育的全資子公司君時教育諮詢(贛州)有限公司，擬向於存濤、贛州雨澤企業管理合夥企業(有限合夥)收購目標公司贛州市美智教育諮詢有限公司的全部股權，該公司間接擁有民辦中等職業學校鄭州城軌交通中等專業學校(“鄭州學校”)20%權益，總代價人民幣2.38億元。
目標公司的業務為擁有樹仁教育的20%股權。除擁有樹仁教育的20%股權之外，目標公司並無經營任何其他業務或持有任何其他資產。
樹仁教育樹仁教育為一家根據中國法律成立的有限責任公司，公告日期由買方擁有80%股權及由目標公司擁有20%股權。樹仁教育的業務為擁有全部鄭州學校的學校舉辦人權益。除擁有全部鄭州學校的學校舉辦人權益之外，樹仁教育並無經營任何其他業務。
樹仁教育20%股權由目標公司以原先收購金額人民幣3000萬元取得，而目標公司由賣方以註冊及未繳資本人民幣480萬元成立。董事認為，目標公司因樹仁教育20%股權產生的原先收購成本並非直接與該協議項下釐定的代價有關。
公告顯示，鄭州學校經鄭州市教育局批准於2010年成立，並獲納入省統招計劃。座落於河南省鄭州市，佔地面積約635畝，鄭州學校提供14個廣泛的學科課程，例如：城市軌道交通及汽車工程、運營，維修及服務等一系列專業課程，以及信息技術和汽車電子技術運用課程。於2019/2020學年，學校有約28000名學生；就在校學生而言，鄭州學校為中國最大的民辦中等職業學校之一。
於2019年12月，鄭州學校憑藉其優秀的專業表現及傑出的教育質量管理，成為中國最早榮獲ISO29990認證的民辦中等職業學校之一。學校設有多元化的校園實境模擬培訓及實訓中心，例如：軌道交通綜合實訓場、城市軌道交通運營管理實訓系統、城市軌道交通信號道岔實訓室及城市軌道交通車輛檢修實訓室等，為其學生提供完備，專業及高效的在職培訓，並滿足市場對城市軌道交通行業優質技術員及專業人士的需求。
在國家宏觀政策引導及扶持下，中國城市軌道交通在“十三五”期間進入蓬勃發展時期，因此，就業市場一直對軌道交通畢業生需求殷切。鄭州學校已與超過15家企業夥伴及與許多大城市(如北京、上海、深圳、廣州及天津等)建立合作關係，以進一步改善其畢業生在試工實習及就業方面的機會，滿足就業市場對人才不斷上升的需求。
董事認為，收購事項將使集團可擁有鄭州學校100%控制權，且於收購事項後，集團的盈利能力預期將進一步提升。受惠於國家政府支持民辦職業教育的政策，此次收購也標誌着公司對鄭州學校的持續信心；鄭州學校已成功地融入集團的學校網絡，在運營和財務方面取得了可喜的進步，並與集團的中國和海外學校有可觀的協同效應和巨大的未來發展潛力。
